Award Terms. When Restricted Token Units are granted under the Plan, the Company shall advise the recipient in writing of the terms, conditions and restrictions applicable to the Award, including the number of Restricted Token Units that such person shall be entitled to receive. The offer to receive Restricted Token Units shall be accepted by execution of a Restricted Token Unit Agreement in the form determined by the Administrator.

Award Terms. By entering into this Award Agreement, the Participant agrees and acknowledges that the Participant has received and read a copy of the Plan. This Award is not granted pursuant to the Plan, but shall be subject to the terms of the Plan (other than Section 3), as if granted thereunder. In the event of a conflict between any term or provision contained herein and a term or provision of the Plan, the applicable terms and provisions of this Award Agreement will govern and prevail.

Award Terms. The type of award and specific terms and conditions of the LTI Grants will be determined by the Committee, but shall be commensurate with Executive’s position and the terms shall be consistent with the terms applicable to other executives of the Company.
