Obligation of City to Effect Tax Abatement. The City agrees to use its best efforts to cause the Project to be Exempt Property, and agrees to make all filings required by the Xxxxxxx County Board of County Commissioners or the Board of Tax Appeals; provided, however, the City shall not be liable for any failure of the Board of Tax Appeals to effect the exemption. The City covenants that it will not knowingly take any action that the City has knowledge may cause the Project to no longer be Exempt Property. In the event the Project is determined to no longer be Exempt Property, the City shall, at the Company’s request, cooperate with the Company in all reasonable ways to cause the Project to be Exempt Property, including cooperating with the Company in any related litigation. The Company agrees to pay to the City the costs that the City incurs (including reasonable legal fees and expenses) in cooperating with the Company in the manner required by this Section. If for any reason the Project shall not be Exempt Property during the term of this Agreement, then during such time period the Company shall not be required to make Tax Payments and the Company shall pay when due all ad valorem property taxes for the Project.

Obligation of City to Effect Tax Abatement. The Issuer agrees to use its best efforts to cause the Bond Financed Portion of the Project to be Exempt Property, and agrees to make all filings required by the Douglas County Board of County Commissioners or the Court of Tax Appeals; provided, however, the Issuer shall not be liable for any failure of the Court of Tax Appeals to effect the exemption permitted by the Abatement Statute. The Issuer covenants that it will not knowingly take any action that the Issuer has knowledge may cause the Bond Financed Portion of the Project to no longer be Exempt Property. In the event the Bond Financed Portion of the Project is determined to no longer be Exempt Property, the Issuer and Tenant shall, at the Subtenant’s request, cooperate with the Subtenant in all reasonable ways to cause the Bond Financed Portion of the Project to be Exempt Property, including cooperating with the Subtenant in any related litigation. The Subtenant agrees to pay to the Issuer and the Tenant the costs that the Issuer and Tenant incur (including legal fees and expenses) in cooperating with the Subtenant in the manner required by this Section.
Obligation of City to Effect Tax Abatement. After the Closing, the City agrees to take all actions within its control to obtain and/or maintain in effect the exemption referred to in Section 4.1 above, including any filing required with any governmental authorities; provided, however, the City shall not be liable for any failure of the County or any other governmental taxing authority to recognize the Exemption. The City covenants that it will not voluntarily take any action that may cause or induce the levy or assessment of ad valorem taxes on the Project during the term of the Lease. In the event such a levy or assessment should occur, the City shall, at the Company’s request and at the Company’s expense, fully cooperate with the Company in all reasonable ways to prevent and/or remove any such levy or assessment against the Project.
