Obligations of Business Associate Upon Termination Upon termination of this Agreement for any reason, business associate shall return to covered entity or, if agreed to by covered entity, destroy all protected health information received from covered entity, or created, maintained, or received by business associate on behalf of covered entity, that the business associate still maintains in any form. Business associate shall retain no copies of the protected health information.
Recipient’s Insurance The Recipient represents, warrants, and covenants that it has, and will maintain, at its own cost and expense, with insurers having a secure A.M. Best rating of B+ or greater, or the equivalent, all the necessary and appropriate insurance that a prudent person carrying out a project similar to the Project would maintain, including commercial general liability insurance on an occurrence basis for third party bodily injury, personal injury, and property damage, to an inclusive limit of not less than the amount provided for in Schedule “B” per occurrence. SERVICE PROVIDER’S OBLIGATIONS 3.1 The Service Provider shall perform its obligations under this Agreement in a reasonable and timely manner in accordance with the provisions of this Agreement.
Information Obligations Each Participant undertakes to promptly notify the Project Committee through the Project Coordinator of any significant information, fact, problem or delay likely to affect the Project. Each Participant shall promptly provide all information reasonably required by the Project Committee through the Project Coordinator to carry out its tasks. Each Participant shall take reasonable measures to ensure the accuracy of any information (including Background and Foreground) or material it supplies to the other Participants.
