  • The application of financial consequences as set forth in the Scope of Work is cumulative to any of DEO’s rights to recoup Award Funds.

  • DEO may demand a return of Award Funds if DEO terminates this Agreement.

  • Grantee shall either (i) maintain Award Funds in a separate bank account, or (ii) expressly designate in Grantee’s business records and accounting system that the Award Funds originated from this Agreement.

  • DEO, in its sole and absolute discretion, may provide Grantee an advance of Award Funds under this Agreement.

  • Grantee shall refund any Overpayment of Award Funds to DEO within 30 days of Grantee’s discovery of an Overpayment, or receipt of notification from DEO that and Overpayment has occurred.

Related to Award Funds

  • Performance Award Formula means, for any Performance Award, a formula or table established by the Committee pursuant to Section 10.3 which provides the basis for computing the value of a Performance Award at one or more levels of attainment of the applicable Performance Goal(s) measured as of the end of the applicable Performance Period.

  • Performance Award Agreement means a written agreement between the Company and a Holder with respect to a Performance Award.
