OBLIGATIONS DURING EMPLOYMENT. The Executive shall during the continuance of his employment: (a) serve the Company to the best of his ability in the capacity of Chief Executive Officer; (b) faithfully and diligently perform such duties and exercise such powers consistent with them as the Board may from time to time properly assign to or confer upon him in such capacity or otherwise in connection with the business of the Company or any Associated Company; (c) perform and exercise the said duties and powers on behalf of any Associated Company and act as a director or other officer of any Associated Company; (d) do all in his power to protect, promote, develop and extend the business interests and reputation of the Group; (e) at all times and in all respects conform to and comply with the lawful and reasonable directions of the Board; (f) upon receiving reasonable notice promptly give to the Board (in writing if so requested) all such information, explanations and assistance as it may require in connection with the business and affairs of the Company and any Associated Company for which he is required to perform duties; (g) unless prevented by sickness, injury or other incapacity or as otherwise agreed by the Board devote the whole of his time, attention and abilities during his hours of work (which shall be normal business hours and such additional hours as may be necessary for the proper performance of his duties) to the business and affairs of the Company and any Associated Company for which he is required to perform duties (save that the Executive may, with the prior written consent of the Board, become a non-executive director of other companies); (h) work at such place of business of the Company or any Associated Company as the Company may reasonably require for the proper performance and exercise of his duties and powers and the Executive may be required to travel on the business of the Company and any Associated Company for which he is required to perform duties; and (i) comply with the Company's Code of Ethics Policy.

OBLIGATIONS DURING EMPLOYMENT. 2.1 The Executive shall during the continuance of his employment: (a) serve 2.1.1 Provide executive management services to the Company and the Group in the United Kingdom; 2.1.2 Consult with and provide advice to the best Board of his ability Directors of the Company and the Company's parent company, PMSI, on business performance, policy, procedures and programs in the capacity of Chief Executive OfficerUnited Kingdom; (b) faithfully 2.1.3 Supervise and diligently perform such duties coordinate the preparation and exercise such powers consistent with them as review of strategies, plans, budgets and projections for the Board may from time to time properly assign to or confer upon him in such capacity or otherwise in connection Company; 2.1.4 Review, with the Group's UK-based outside advisors, tax, legal and financial questions relating to the operations of the Company and the Group; 2.1.5 Advise on the operations and performance of the Company in the United Kingdom; 2.1.6 Perform such related duties in the United Kingdom with respect to the business activities of the Company and the Group as may be assigned to Executive by the Boards of Directors of the Company or any Associated CompanyPMSI; (c) perform and exercise the said duties and powers on behalf of any Associated Company and act as a director or other officer of any Associated Company; (d) do 2.1.7 Do all in his power to protect, promote, develop develop, and extend the business interests and reputation of the GroupCompany and the Group within the United Kingdom; (e) at all times and in all respects conform to and comply with the lawful and reasonable directions of the Board; (f) upon receiving reasonable notice promptly give to the Board (in writing if so requested) all such information, explanations and assistance as it may require in connection with the business and affairs of the Company and any Associated Company for which he is required to perform duties; (g) unless 2.1.8 Unless prevented by sickness, injury or other incapacity incapacity, and subject to the restrictions specified in Clause 16.4 hereinafter or as otherwise agreed by the Board of Directors, devote the whole of his time, appropriate and necessary time and attention and abilities during his hours of work (which shall be normal business hours and such additional hours as may be necessary for the proper performance of his duties) to the performance of his duties and the business and affairs of the Company and any Associated Company for which he is required to perform duties (save that the Executive may, with the prior written consent of the Board, become a non-executive director of other companies)duties; (h) work at such place of business of the Company or any Associated Company 2.1.9 Travel from time to time as the Company may reasonably require for the proper performance and exercise of his duties and powers and the Executive may be required to travel on in connection with the business of the Company and any Associated Company for which he is Company; provided that the Executive shall not be required to perform duties; and change his regular work location to another work location more than fifteen (i15) comply with miles from the CompanyExecutive's Code of Ethics Policyresidence as set forth above.

OBLIGATIONS DURING EMPLOYMENT. 2.1 The Executive shall during the continuance of his employment: (a) 2.1.1 serve the Company to the best of his ability in the capacity of Chief Executive Officer;Director, Oil & Gas (but not in any other capacity); and (b) 2.1.2 faithfully and diligently perform such duties and exercise such powers consistent with them as the Board may from time to time properly assign to or confer upon him in such capacity or otherwise in connection so far as is consistent with his position as an Executive Director; and 2.1.3 if and so long as the business of the Company or any Associated Company; (c) Board so directs, perform and exercise the said duties and powers on behalf of any Associated Company and act as a director or other officer of any Associated Company;Company provided that, the Executive's contract of employment shall only be transferred to any other company of the Group with the consent of the board and the Executive; and (d) 2.1.4 do all reasonably in his power to protect, promote, develop and extend the business interests and reputation reputation, and in particular in relation to Oil & Gas activities, of the Group;Company and any Associated Company; and (e) 2.1.5 at all times and in all material respects conform to and comply with the lawful and reasonable directions of the Board;; and (f) upon receiving reasonable notice 2.1.6 promptly give to the Board (in writing if so requested) all such information, information explanations and assistance as it may reasonably require in connection with the business and affairs of the Company and any Associated Company for which he is required to perform duties;; and (g) 2.1.7 unless prevented by sickness, sickness injury or other incapacity or as otherwise agreed by the Board devote the whole of his time, time attention and abilities during his hours of work (which shall be normal business such hours and on such additional hours days of the week as may be necessary for the proper performance of his duties) to the business and affairs of the Company and any Associated Company for which he is required to perform duties (save that the Executive may, with the prior written consent of the Board, become a non-executive director of other companies); (h) work at such place of business of the Company or any Associated Company as the Company may reasonably require for the proper performance and exercise of his duties and powers and the Executive may be required to travel on the business of the Company and any Associated Company for which he is required to perform duties; and (i) comply 2.1.8 Notwithstanding the provisions of clause 2.1.7, the Executive shall be entitled to continue with those business activities specified in the Company's Code of Ethics Policy.Schedule to this Agreement subject to such activities not interfering with his duties hereunder and to accept other non-executive roles, as may be agreed to by the Chairman and such agreement shall not be unreasonable withheld; and
