Common use of Obligations of DS Supplier Clause in Contracts

Obligations of DS Supplier. The DS Supplier hereby agrees as follows: To provide service on a firm and continuous basis such that the supply delivered for the term of each Transaction under the Agreement meets the terms and conditions set forth in Appendix C and Exhibit 1; To provide sufficient quantities of DS Supply on an instantaneous basis at all times during the Delivery Period of each Transaction and supplied to the Delivery Point to meet the DS Supplier Responsibility Share; To procure those services provided by the PJM OI and to perform such functions as may be required by the PJM OI that are necessary for the delivery of DS Supply required hereunder; To cooperate with the Company in any regulatory compliance efforts that may be required to maintain the ongoing legitimacy and enforceability of the terms of this Agreement and to fulfill any regulatory reporting requirement associated with the provision of DS Supply before the PaPUC, the FERC or any other regulatory body asserting jurisdiction; To become the LSE with respect to the provision of DS Supply for the DS Supplier Responsibility Share and to comply with all requirements of an LSE with respect to such DS Supplier Responsibility Share; To pay to the Company the PMEA/FMEA Adjustment Amount for any Billing Month in which the PMEA exceeds the FMEA, and to pay to the Company adjustments pursuant to Sections 9.1(b)(iii) and 9.1(b)(iv) if applicable, as more fully described in Article 9 of this Agreement; To accept assignment of and to fulfill all obligations of an LSE that are assigned to it by this Agreement; To comply in a timely manner with all obligations under this Agreement imposed upon the DS Supplier; and To comply with the AEPS requirements set forth in Appendix D and Exhibit 2.

The DS Supplier hereby agrees as follows: To DS Supplier shall provide service on a firm and continuous basis such that the supply delivered for the term of each Transaction under the Agreement meets the terms and conditions set forth in Appendix C and Exhibit 1C; To provide sufficient quantities of DS Supply on an instantaneous basis at all times during the Delivery Period of each Transaction and supplied to the Delivery Point to meet the DS Supplier Responsibility Share; To procure those services provided by the PJM OI and to perform such functions as may be required by the PJM OI that are necessary for the delivery of DS Supply required hereunder; To cooperate with the Company in any regulatory compliance efforts that may be required to maintain the ongoing legitimacy and enforceability of the terms of this Agreement and to fulfill any regulatory reporting requirement associated with the provision of DS Supply Supply, before the PaPUC, the FERC or any other regulatory body asserting jurisdiction; To become the LSE Load Serving Entity ("LSE") with respect to the provision of DS Supply for the DS Supplier Responsibility Share and to comply with all requirements of an a LSE with respect to such DS Supplier Responsibility Share; To pay to the Company the PMEA/FMEA Adjustment Amount for any Billing Month in which the PMEA exceeds the FMEA, and to pay to the Company adjustments pursuant to Sections 9.1(b)(iii) and 9.1(b)(iv) if applicable, as more fully described in Article 9 of this Agreement; To accept assignment of and to fulfill all obligations of an a LSE that are assigned to it by this Agreement; To comply in a timely manner with all obligations under this Agreement imposed upon the DS Supplier; and To comply with the AEPS requirements set forth of the Company's Default Service Plan, as detailed in Appendix D and Exhibit 2.E.
