OBLIGATIONS OF THE SUPPLIER. 6.1. The Supplier hereby agrees and undertakes to perform the Services to the Employer as set out in Scope of Work (PART 4: SPECIFICATIONS). 6.2. The Supplier will perform the Works as expeditiously as possible and furthermore agrees and undertakes to perform the services in accordance with the operational requirements of the Employer. 6.3. The Supplier will ensure that the Works will be of a satisfactory quality and fit for purpose. 6.4. The Supplier shall, ensure that its employees, agents, representatives, sub-contractors and suppliers comply with this Contract and all applicable Laws in the execution of the Works.
OBLIGATIONS OF THE SUPPLIER. 4.1. Obligations of the supplier 4.1.1. Subject to and on the terms and conditions of this Agreement, the Supplier shall comply with and perform all its obligations set out in this Agreement or arising hereunder. 4.1.2. The Supplier shall comply with all Applicable Laws and other Applicable Permits (including renewals as required) in the performance of its obligations under this Agreement. 4.1.3. Save and except as otherwise provided in this Agreement or Applicable Laws, as the case may be, the Supplier shall, in discharge of all its obligations under this Agreement, conform with and adhere to Good Industry Practice at all times. 4.1.4. The Supplier shall, at its own cost and expense, in addition to and not in derogation of its obligations elsewhere set out in this Agreement: (a) make, or cause to be made, necessary applications to the relevant Government Instrumentalities with such particulars as may be required for obtaining Applicable Permits, and obtain and keep in force and effect such Applicable Permits in conformity with Applicable Laws; Non-grant of open access shall be mutually decided by the Procurer and Supplier; For the avoidance of doubt, it is expressly mentioned that it is the obligation of the Supplier under this Agreement to make timely application for open access to the transmission system for supply of power from the generating station to the Delivery Point (b) always act in a manner consistent with the provisions of this Agreement and not cause or fail to do any act, deed or thing, whether intentionally or otherwise, which may in any manner be violative of any of the provisions of this Agreement or Applicable Laws; (c) procure that all equipment and facilities comprising the Power Station are operated and maintained in accordance with Good Industry Practice (d) support, cooperate with and facilitate the Procurer in the implementation of this Agreement; 4.2. Obligations relating to other Agreements It is expressly agreed that the Supplier shall, at all times, be responsible and liable for all its obligations under this Agreement notwithstanding anything contained in any other agreement, and no default under any other agreement shall excuse the Supplier from its obligations or liability hereunder. 4.3. Obligations relating to Change in Ownership 4.3.1. The Supplier shall not undertake or permit any Change in Ownership, except with the prior written approval of the Procurer
OBLIGATIONS OF THE SUPPLIER. 5.1 The Supplier shall ensure the Approved Services are performed: a) with all due care, skill and diligence; b) in accordance with the highest industry practice; c) in full compliance with all statutory, local authority, NPG rules and regulations and any other regulations applicable to the Approved Services. 5.2 The Supplier shall perform the Approved Services in a timely manner in accordance with the delivery dates agreed between the Supplier and NPG Client. 5.3 At all times whilst providing the Approved Services to the NPG‟s Client the Supplier shall take all appropriate steps to preserve the NPG‟s image, standing and reputation. This shall be a condition of this Agreement. 5.4 The Supplier must not provide any services other than the Approved Services without the prior Approval of the NPG‟s Events Manager. 5.5 The Supplier shall (acting reasonably) ensure it co-ordinates its activities during provision of the Approved Services with those activities of the NPG‟S staff and other suppliers engaged by the NPG. 5.6 The Supplier shall comply with (and ensure all staff, agents suppliers and sub- contractors comply with) the „Site Rules for Contractors Working on NPG Premises‟ contained in Appendix A, „Event Planning, Access and Security Protocols for NPG Premises‟ contained in Appendix B attached and (if applicable) the „Additional Site Rules (for Caterers Only)‟ contained in Appendix C, at all times whilst on NPG premises. 5.7 The Supplier shall advise the NPG of any Documentation which the Supplier requires to be provided to him/her by the NPG to enable the Supplier to provide the Approved Services. The Supplier shall give the NPG a reasonable notice period to supply any such Documentation. 5.8 The Approved Services shall be subject to inspection at all times by the NPG‟S Events Manager.
OBLIGATIONS OF THE SUPPLIER. Supplier shall (1) comply with reasonable requests of Buyer, including without limitation, attending meetings with Buyer and its consultants and advisers, (2) adhere strictly with any timelines required by Buyer, (3) carry out such duties, functions and additional services which are incidental to and/or necessary for the performance of its obligations under the Agreement, (4) at all times be answerable to Buyer and prepare and submit to Buyer promptly such reports as may be requested by Xxxxx from time to time, (5) use its own resources, equipment, materials and services to carry out its obligations under the Agreement, and (6) do nothing (whether by act or omission) that is adverse or prejudicial to the standing and reputation of Buyer.
OBLIGATIONS OF THE SUPPLIER. The Supplier shall provide the Deliverables to Buyer in accordance with Buyer's requirements. The Supplier shall ensure that the Deliverables are provided in accordance with, and with due regard to, all relevant Laws. The Supplier shall ensure that accurate and comprehensive records are maintained of all activities of the Supplier under this PO. The Supplier shall provide Buyer with such information and documents in connection with the Deliverables as Buyer may request from time to time. The Supplier shall (1) comply with reasonable requests of Buyer, including without limitation, attending meetings with Buyer and its consultants and advisers, (2) adhere strictly with any timelines required by Buyer, (3) carry out such duties, functions and additional services which are incidental to and/or necessary for the performance of its obligations under this PO, (4) at all times be answerable to Buyer and prepare and submit to Buyer promptly such reports relating to the Supplier's obligations as may be requested by Buyer from time to time, (5) use its own resources, equipment, materials and services to carry out its obligations under this PO, (6) exercise due skill and proper care and shall at all times maintain the highest professional standards, and (7) do nothing (whether by act or omission) that is adverse or prejudicial to the standing and reputation of Buyer.
OBLIGATIONS OF THE SUPPLIER. 3.1 MAINTENANCE OF HARDWARE AND SOFTWARE EQUIPMENT SERVICES - Support and Routine Assistance The Supplier’s support personnel shall be available to assist and consult with the staff of the Bank 12 hours per day five days per week. The Supplier shall provide necessary support services to answer questions and to assist the Bank in resolving problems related to the use and operation of the Software supplied and installed by the Supplier. The Supplier shall be responsible for training the Bank’s Staff to operate new and/or upgraded Solution. The Supplier shall appoint a Local Agent and notify the name to the Bank in case it is not physically present in the Bank’s host country. - Errors and Corrections of defects for the products The Supplier agrees to correct defects of the products sold to the Bank and to supply replacements to the Bank at no additional charge. The Bank agrees to report promptly to the Supplier any and all defects in, or problems with, the devices, which it may discover. The Supplier shall correct the defects promptly after they are discovered by the Bank or are reported by the Supplier.

OBLIGATIONS OF THE SUPPLIER. The Supplier shall perform the Services and carry out their obligations hereunder with all due diligence, efficiency and economy, in accordance with generally accepted professional standards and practices, and shall observe sound management practices, and employ appropriate technology and safe and effective equipment, machinery, materials and methods. The Supplier shall always act, in respect of any matter relating to this Contract or to the Services, as faithful advisers to the SNDB, and shall at all times support and safeguard the SNDB legitimate interests in any dealings with Sub-Suppliers or third Parties.
OBLIGATIONS OF THE SUPPLIER. 3.1 The Supplier will execute the Task in compliance with the specifications outlined in Annex A and Annex B. If there is any inconsistency between the terms of Annex A and Annex B, the terms of Annex A shall prevail, unless specifically agreed otherwise in a written document signed by both Parties. 3.2 The supplier agrees to follow any advice by ETC throughout the implementation of the Task. 3.3 The Supplier will respect the accepted business standards and will perform the Task with all care and due diligence required in carrying out this type of work. The Supplier will take all necessary measures to prevent any situation of Conflict of interests. The Supplier will comply with all legislation and regulations in force. 3.4 The Supplier must carry out the Task in line with the highest ethical standards and the applicable EU, international and national law on ethical principles. The Supplier must commit to and ensure the respect of basic EU values (such as respect for human dignity, freedom, democracy, equality, the rule of law and human rights, including the rights of minorities). 3.5 The Supplier will establish a core team of professional experts that will deliver the Task. The replacement of core team members will be limited as much as possible. 3.6 Replacement of core team members will be timely and will only be accepted if the replacing professional expert disposes of a level of knowledge and experience that is comparable to the one of the departing professional expert. Any such acceptance by ETC shall not relieve the Supplier from responsibility for the performance of that personnel member or the execution of the Task. 3.7 The Supplier shall provide the appropriate number of adequately experienced, trained and qualified personnel who are highly responsive, (and) will establish and maintain effective and harmonious working relationships and continuous communication between all parties involved and will promote a positive project morale. Management procedures must be streamlined, quick, simple and effective. 3.8 All personnel provided by the Supplier shall be appropriately qualified and experienced in the duties assigned to them. 3.9 All personnel provided by the Supplier, including autonomously hired sub-consultants and/or independently working specialists, must be free from Conflict of interests in the responsibilities they take on. 3.10 The Supplier shall have risk mitigation measures in place for the processes related to the execution of the Task. 3....
