Obligations to Former Employers. Executive represents to the Company that: (i) except as disclosed to the Company in writing on or before the date of this Agreement, Executive is not a party to any agreement that may restrict Executive from engaging in any activities which Executive may be required or expected to perform in connection with Executive’s duties with the Company, and (ii) Executive has returned or destroyed any papers or electronic media in Executive’s possession that contained trade secrets or confidential information of any former employer or other third party that Executive had a duty to return or destroy. Executive will not disclose or use any trade secrets or confidential information of any former employer or other third party for the Company’s benefit without the prior written consent of such party and the Company.
