Representations, Warranties and Covenants of the Employee. (a) The Employee represents and warrants to the Company that: (i) There are no restrictions, agreements or understandings whatsoever to which the Employee is a party which would prevent or make unlawful the Employee’s execution of this Agreement or the Employee’s employment hereunder, or which is or would be inconsistent or in conflict with this Agreement or the Employee’s employment hereunder, or would prevent, limit or impair in any way the performance by the Employee of the obligations hereunder; and (ii) The Employee has disclosed to the Company all restraints, confidentiality commitments or other employment restrictions that he has with any other employer, person or entity. (b) The Employee covenants that in connection with his provision of services to the Company, he shall not breach any obligation (legal, statutory, contractual or otherwise) to any former employer or other person, including, but not limited to obligations relating to confidentiality and proprietary rights. (c) Upon and after his termination or cessation of employment with the Company and until such time as no obligations of the Employee to the Company hereunder exist, the Employee (i) shall provide the Confidentiality Agreement to any prospective employer or other person, entity or association engaged in the Field of Interest (as defined in the Confidentiality Agreement), with whom or which the Employee proposes to be employed, affiliated, engaged, associated or to establish any business or remunerative relationship prior to the commencement thereof and (ii) shall notify the Company of the name and address of any such person, entity or association prior to his employment, affiliation, engagement, association or the establishment of any business or remunerative relationship.

The Executive represents and warrants to Haggar that: (a) There are no restrictions, agreements or understandings whatsoever to which the Executive is a party that would prevent or make unlawful the Executive's execution of this Agreement or the Executive's employment under this Agreement, or which is or would be inconsistent, or in conflict with this Agreement or the Executive's employment under this Agreement, or would prevent, limit or impair in any way the performance by the Executive of the obligations under this Agreement; and (b) The Executive has disclosed to Haggar all restraints, confidentiality commitments or other employment restrictions that Executive has with any other employer, person or entity. 2. Upon and after the Executive's termination or cessation of employment with Haggar and until such time as no obligations of the Executive to Haggar hereunder exist, the Executive: (i) shall provide a complete copy of this Agreement to any prospective employer or other person, entity or association in the Business, with whom or which the Executive proposes to be employed, affiliated, engaged, associated or to establish any business or remunerative relationship prior to the commencement; and (ii) shall notify Haggar of the name and address of any such Person, entity or association prior to the Executive's employment, affiliation, engagement, association or the establishment of any business or remunerative relationship.
Representations, Warranties and Covenants of the Employee. (a) The Employee represents and warrants to the Company that: (i) There are no restrictions, agreements or understandings whatsoever to which the Employee is a party which would prevent or make unlawful the Employee’s execution of either this Agreement, the Confidentiality Agreement or the Employee’s employment hereunder, or which is or would be inconsistent or in conflict with either this Agreement, the Confidentiality Agreement or the Employee’s employment hereunder, or would prevent, limit or impair in any way the performance by the Employee of the obligations under either this Agreement or the Confidentiality Agreement; (ii) The Employee has disclosed to the Company all restraints, confidentiality commitments or other employment restrictions that he has with any other employer, person or entity; and (iii) All information furnished or to be furnished by the Employee to the Company in connection with the Employee’s employment with the Company is or will be free and complete in all respects. (b) The Employee shall not breach any obligation (legal, statutory, contractual or otherwise) to any former employer or other person, including, but not limited to obligations relating to confidentiality, noncompetition and proprietary rights in connection with the Employee’s provision of services to the Company. During the Term, the Employee shall comply with all lawful policies, practices and procedures established at any time and from time to time by the Company.
Representations, Warranties and Covenants of the Employee. The Employee represents that he has the capacity and desire to enter into this Agreement, and the voluntary execution, delivery and performance of this Agreement and compliance with its provisions will not conflict with or result in any breach of any of the terms, conditions, obligations, covenants or provisions of, or constitute a default under, any note, mortgage, agreement, contract or instrument to which the Employee is a party or by which he may be bound or affected, including specifically any pre-existing or existing consulting, employment, or independent contractor arrangements, understandings, or agreements whether oral or written. Furthermore, the Employee agrees to indemnify the Corporation against any claims brought by any predecessor employer alleging breach of employment contract or fiduciary responsibilities.
