Common use of Official Past Use Report Clause in Contracts

Official Past Use Report. Within sixty (60) days after the Effective Date, Licensee shall submit to Licensing Company an Official Past Use Report that includes all the same information for all Previously-Sold Products as is required for Licensed Products under Section 5.4 (Payment Schedule and Royalty Reporting); provided, however, that Licensee may use commercially reasonable efforts to estimate such information if Licensee cannot reasonably obtain more reliable information. Licensee shall also provide an explanation of any material differences between the Official Past Use Report and the Estimated Past Use Report.
