Offshore Vendor Resources. Vendor Resources located offshore (outside of the United States) and authorized by Prudential to perform certain Designated Services, as agreed to in writing by the parties, are prohibited from gaining access to any Prudential Confidential Information prior to the Vendor's full implementation of the Data Loss Protection controls, which are subject to a security review by Prudential, agreed to by the parties.
