Offsite Hazardous Material Disposal. The Company, its ----------------------------------- subsidiaries, and their respective agents, employees and contractors have transferred or released Hazardous Materials only to those disposal sites, transporters, recyclers, and handlers ("Disposal Site") described on Schedule 2.22; and no action, proceeding, liability or claim exists or, to the best knowledge of the Company is threatened, against any Disposal Site or against the Company or any person or entity for which the Company is legally responsible with respect to any transfer or release of Hazardous Materials to a Disposal Site and there is no valid basis for such claim.
Offsite Hazardous Material Disposal. The Seller has transferred or released Hazardous Materials offsite only to those Disposal Sites set forth in Section 3.23(f) of the Seller Disclosure Schedule; and, to Seller’s Knowledge no action, proceeding, liability or claim exists or is threatened against any Disposal Site or against the Seller with respect to any transfer or release of Hazardous Materials relating to the Business to a Disposal Site which could reasonably be expected to subject the Seller to liability.
Offsite Hazardous Material Disposal. The Company has not ----------------------------------- transferred or released Hazardous Materials to any landfills or disposal sites, and no action, proceeding, liability or claim exists or is threatened against any landfill or disposal site or against the Company with respect to any transfer or release of Hazardous Materials which could reasonably be expected to subject the Company to liability.
Offsite Hazardous Material Disposal. No action, proceeding, liability or claim exists or, to the best knowledge of Parent, is threatened, against any Disposal Site or against Parent or any person or entity for which Parent is legally responsible with respect to any transfer or release of Hazardous Materials to a Disposal Site.
Offsite Hazardous Material Disposal. The Company and its Subsidiaries have transferred or released Hazardous Materials only to those Disposal Sites set forth in Section 3.17(f) of the Company Disclosure Letter; and, to the knowledge of the Company, no Legal Proceeding exists or is threatened against any Disposal Site or and no Legal Proceeding exists or, to the knowledge of the Company, no Legal Proceeding is threatened against the Company or any of its Subsidiaries with respect to any transfer or release of Hazardous Materials relating to the business of the Company or any of its Subsidiaries to a Disposal Site which could reasonably be expected to result in material Liability to the Company and its Subsidiaries, taken as a whole.
Offsite Hazardous Material Disposal. Each of the Company, WW and each Subsidiary has transferred or released Hazardous Materials only to those Disposal Sites set forth in Schedule 2.18(f) of the Stockholder Disclosure Schedule; and no action, proceeding, liability or claim exists or is threatened against any Disposal Site or against the Company, WW or any Subsidiary with respect to any transfer or release of Hazardous Materials relating to the Business to a Disposal Site which could reasonably be expected to subject the Company, WW or any Subsidiary to liability.

With respect to the operation of the Business, Xxxxxxx-Xxxxxxx and the SEG Entities have transferred or released Hazardous Materials only to those Disposal Sites set forth in Schedule 2.16; and, to Xxxxxxx-Xxxxxxx'x knowledge, no action, proceeding, liability or claim exists or is threatened against any Disposal Site or against Xxxxxxx-Xxxxxxx or any SEG Entities with respect to any transfer or release of Hazardous Materials relating to the Business to a Disposal Site which could reasonably be expected to subject any SEG Entity to liability.
Offsite Hazardous Material Disposal. Each Transferor has directly transferred or released Hazardous Materials related to the Business only to those Disposal Sites set forth in Section 3.19(c) of the Transferors’ Disclosure Letter; and no action, proceeding, liability or claim is pending or, to Transferors’ knowledge, is threatened against any Disposal Site or against any Transferor with respect to any transfer or release of Hazardous Materials relating to the Business to a Disposal Site which could reasonably be expected to subject any Transferor to liability.
Offsite Hazardous Material Disposal. Neither the Company nor the Subsidiary has transferred or released Hazardous Materials to any Disposal Site.
