Ongoing Operations and Maintenance. From the date of this Agreement through the Closing Date or earlier termination of this Agreement, in relation to each Property (i) Seller shall carry on its business and activities relating to such Property, substantially in the same manner as it did before the date of this Agreement, and (ii) Seller shall not sell or encumber such Property or any material portion thereof or interest therein. At all times prior to the Closing Date, Seller shall maintain the Property in good condition and repair, reasonable wear and tear excepted, operate the Property in accordance with substantially the same management practices and leasing standards as currently done, and pay in the normal course of business prior to Closing, all sums due for work, materials or service furnished or otherwise incurred in the ownership and operation of the Property prior to Closing.
Ongoing Operations and Maintenance. TSP shall cooperate and coordinate with the Joint Board and its employees, the States’ Parties and employees of the States’ Parties, and other contractors with respect to the ongoing operation, maintenance, renewal and replacement of the Ohio River Bridges Project.
Ongoing Operations and Maintenance. 8.7.1 LICENSEE will be responsible for the ongoing safe operation and maintenance of its Signboards and LICENSEE Equipment on PG&E Land and Facilities, including, without limitation, compliance with the safety rules set forth in Exhibit E attached hereto. LICENSEE shall take all necessary precautions to protect LICENSEE's Representatives from risks of harm from Potential Environmental Hazards (as defined in Section 17.2 below), and LICENSEE shall be responsible for the health and safety of LICENSEE's Representatives. LICENSEE shall not make use of the PG&E Land or Facilities in any way that will endanger human health or the environment, create a nuisance or otherwise be incompatible with the use of the PG&E Land or Facilities by PG&E or others entitled to use the same. If PG&E determines in its sole business judgment, exercised in good faith, that LICENSEE's activities in any way endanger PG&E Land or Facilities, the environment, or human health and safety, PG&E may, in PG&E's sole and absolute discretion, require that LICENSEE halt LICENSEE's activities until appropriate protective measures may be taken to eliminate such endangerment, to PG&E's satisfaction.
Ongoing Operations and Maintenance. The City shall be responsible for the ongoing operations and maintenance of the water supply facilities, which shall be funded through user rates, service fees or other user charges paid to the City by residents and other users within the Project.
Ongoing Operations and Maintenance. The City shall be responsible for the ongoing operations and maintenance of the on-site drainage facilities and related hardscape and drainage inlet facilities, which shall be funded through an appropriate community facilities district and the City’s user rates, service fees or other user charges paid to the City by residents and other users within the Project. Developers shall be responsible for funding installation, ongoing operations, and maintenance of the Project’s landscaping, including landscaping of water quality basins, as further specified in the Infrastructure Maintenance Plan, Exhibit G.
Ongoing Operations and Maintenance. 1.1. Tests/Repairs/Maintenance of Tanks, Piping, Leak Detection Systems, and Alarms [WAC 000-000-000, 335, 345, and 350]. Provide copies of records to Port within 7 days of test/repair/maintenance activity. Each RAC (or its local response contractor) must respond onsite to alarms within 24 hours and must provide copies of response/resolution records to Port within 7 days of alarm.
Ongoing Operations and Maintenance. The City will be solely responsible for all costs incurred for the design, construction, operation, maintenance, upkeep, and repair of the Property, and of any improvements and facilities thereon other than as provided in paragraph 5A and 5B above.
