OPERATION OF AGREEMENT; EMPLOYMENT AND TERM. (a) This Agreement shall be effective and binding immediately upon its execution, but anything in this Agreement to the contrary notwithstanding, this Agreement shall not be operative unless and until the Effective Time occurs. Upon the occurrence of the Effective Time, without further action, this Agreement shall become immediately operative.
