Position and Duties of the Executive. (a) The Executive shall serve as Chief Financial Officer of the Company, and agrees to serve as an officer of any enterprise and/or agrees to be an employee of any Subsidiary as may be requested from time to time by the Board of Directors of the Company (the “Board”), any committee or person delegated by the Board or the Chief Executive Officer of the Company (the “Chief Executive Officer”). In such capacity, the Executive shall report directly to the Chief Executive Officer of the Company. The Executive shall have such duties, responsibility and authority as may be assigned to the Executive from time to time by the Chief Executive Officer, the Board or such other officer of the Company as may be designated by the Chief Executive Officer or the Board. (b) During the Employment Term, the Executive shall, except as may from time to time be otherwise agreed to in writing by the Company, during reasonable vacations (as set forth in Section 7 hereof) and authorized leave and except as may from time to time otherwise be permitted pursuant to Section 3(c), devote his best efforts, full attention and energies during his normal working time to the business of the Company, any duties as may be delineated in the Company’s Bylaws for the Executive’s position and title and such other related duties and responsibilities as may from time to time be reasonably prescribed by the Board, any committee or person designated by the Board, or the Chief Executive Officer, in each case, within the framework of the Company’s policies and objectives. (c) During the Employment Term, and provided that such activities do not contravene the provisions of Section 3(a) or Sections 10, 11, 12 or 13 hereof and, provided further, the Executive does not engage in any other substantial business activity for gain, profit or other pecuniary advantage which materially interferes with the performance of his duties hereunder, the Executive may participate in any governmental, educational, charitable or other community affairs and, subject to the prior approval of the Chief Executive Officer, serve as a member of the governing board of any such organization. Without the prior approval of the Board, the Executive shall not serve in any executive capacity or as a member of the governing board of any private or public for-profit company. Position and Duties of the Executive. (a) The Executive shall serve in the position set forth on EXHIBIT A and shall report directly to the position set forth on EXHIBIT A attached hereto (the "Reporting Person"). The Executive shall have such duties, responsibilities and authority commensurate with the Executive's position and such related duties and responsibilities, as from time to time may be assigned to the Executive by the Reporting Person. In addition, the Executive will be subject to, and will act in substantial accordance with, all reasonable lawful instructions and directions of the Board and all applicable reasonable policies and rules thereof as are consistent with the above position, duties, responsibilities and authority. (b) During the Employment Term, the Executive shall, except as may from time to time be otherwise agreed in writing by the Company and during vacations (as set forth in Section 7 hereof) and authorized leave, devote substantially all of his normal business working time and his best efforts, full attention and energies to the business of the Company, the performance of the Executive's duties hereunder and such other related duties and responsibilities as may from time to time be reasonably prescribed by the Board or any committee thereof, the Reporting Person or any committee or person delegated by the Reporting Person, in each case, within the framework of the Company's policies and objectives. (c) During the Employment Term and provided that such activities do not either (i) contravene the provisions of Section 3(a), 3(b), 12 or 13 hereof or (ii) materially interfere with the performance of the Executive's duties hereunder, the Executive may continue to serve as a member of the governing board of the governmental, educational, charitable or other community affairs organizations set forth on EXHIBIT A attached hereto. The Executive may retain all fees and other compensation from any such service, and the Company shall not reduce his compensation by the amount of such fees.
Position and Duties of the Executive. (a) The Executive will report to the Supervisor, and have duties, responsibilities and authorities commensurate with the Executive’s title and position as of immediately following the Closing, and such duties, responsibilities and authority as may be assigned to the Executive from time to time by the Supervisor. (b) During the Employment Term, the Executive will devote the Executive’s reasonable best efforts, attention and energies during normal working time to the business(es) of the Company Group and the performance of any of the Executive’s duties as set forth herein. (c) So long as such activities do not involve a breach of this Agreement and do not interfere with the performance of the Executive’s duties hereunder, the Executive may participate in any governmental, educational, charitable or other community affairs during the Employment Term and, subject to the prior approval of the Supervisor in the Supervisor’s discretion which shall not be unreasonably withheld, delayed or conditioned, serve as a member of the governing board of any such organization. The Executive may retain all fees and other compensation from any such service, and the Company will not reduce the Executive’s compensation by the amount of such fees. Notwithstanding anything herein to the contrary, the Executive may not accept any position during the Employment Term with a for-profit enterprise without the prior written approval of the Supervisor in the Supervisor’s discretion which shall not be unreasonably withheld, delayed or conditioned.

(c) During the Employment Term and provided that such activities do not either (i) contravene this Agreement (including, without limitation, the provisions of Section 3(a), 3(b), 12 or 13 of this Agreement) or (ii) materially interfere with the performance of the Executive’s duties hereunder, the Executive may (a) engage in charitable activities and community affairs, (b) serve on the boards of, or advisory committees to, trade associations or charitable organizations, (c) manage his personal and family investments and affairs, and (d) serve on boards or advisory committees of (1) public or private companies set forth on Exhibit A attached hereto, (2) professional associations approved by the Board or (3) as otherwise may be approved by the Board. The Executive may retain all fees and other compensation from any such service, and the Company shall not reduce his compensation by the amount of such fees.

Position and Duties of the Executive. (a) The Executive will report directly and exclusively to the Company’s Chief Executive Officer (the “Supervisor”), and have duties, responsibilities and authorities commensurate with the Executive’s title and position as Chief Investment Officer, and such duties, responsibilities and authority as may be reasonably assigned to the Executive from time to time by the Supervisor. It is anticipated that the Executive’s duties as Senior Vice President, Asset Acquisitions will require approximately seventy percent (70%) of the Executive’s time. For the avoidance of doubt, the Executive shall notify the Supervisor in advance of any vacation or other time off, and the Executive and the Supervisor shall mutually determine the schedule of such time off. (c) During the Employment Term, the Executive will devote the Executive’s best efforts, full attention and energies during normal working time to the business(es) of the Company Group and the performance of any of the Executive’s duties as set forth herein. The Executive will be required to travel over-night on behalf of the Company, as reasonable for the Executive’s duties from time to time. It is the good faith expectation of the Parties that such travel would not exceed twenty-five (25) business days per year, provided, however, that should additional days of travel be reasonably required, such requirement for additional travel days would not constitute a breach by the Company of any provision of this Agreement. (d) So long as such activities do not involve a breach of this Agreement and do not interfere with the performance of the Executive’s duties hereunder, the Executive may participate in any governmental, educational, charitable or other community affairs during the Employment Term and, subject to the prior approval of the Supervisor in the Supervisor’s sole and absolute discretion, serve as a member of the governing board of any such organization.
