Operational Manual Clause Samples

An Operational Manual clause defines the requirement for the parties to follow a specific set of procedures or guidelines, typically documented in a separate manual, for the operation and management of a project, facility, or service. This clause usually stipulates that the manual will outline day-to-day processes, safety protocols, maintenance routines, and reporting obligations, and may specify how updates to the manual are made and communicated. Its core practical function is to ensure consistency, safety, and efficiency in operations by providing a clear, agreed-upon reference for all parties involved.
Operational Manual. (a) The Multiplex Licensee agrees to develop an operational manual in consultation with all Access Seekers to deal with technical and operational matters that arise under or in connection with this Agreement, or the supply of the Multiplex Transmission Service (Operational Manual). (b) The Multiplex Licensee must: (i) establish a process for the development of the Operational Manual, which includes a process for consultation with all Access Seekers; (ii) undertake consultation with all Access Seekers in good faith; (iii) use its reasonable endeavours to accommodate any reasonable requests that may be made by an Access Seeker during the consultation process in respect of the development or contents of the Operational Manual; and (iv) ensure that the Operational Manual is consistent with this Agreement, including clause 9. (c) Subject to clause 9, the Access Seeker acknowledges and agrees that the Operational Manual may include provisions that are necessary for, or reasonably required by, the Multiplex Licensee to comply with technical or operational obligations imposed by suppliers or vendors under third party supply agreements on which the supply of the Multiplex Transmission Service is dependent. (d) Any Operational Manual developed by the Multiplex Licensee: (i) forms part of this Agreement and is binding on the Parties; and (ii) may be amended by the Multiplex Licensee from time to time, subject to clauses 2.2(b) and 2.2(c).
Operational Manual. (a) The Borrower (through MOT) shall maintain, until the completion of the Project, the updated operational manual referred to in Section 5.01(b) of this Agreement, in accordance with terms approved by the Bank, and which shall include, inter alia: (i) detailed arrangements for the overall carrying out of the Project, including the additional activities detailed in Schedule 1 to this Agreement; (ii) an institutional implementation plan of MOT, the Participating Cities, the City of Bogotá and the Implementing Entities for the management of their respective Parts of the Project (including, inter alia, allocation of responsibilities among staff, yearly planning of activities and budget and time allocation for those activities), and the establishment and maintenance, throughout Project Implementation, of a Social Management Team in each Implementing Entity; (iii) the procurement guidelines to be followed by the Borrower (through MOT), the Participating Cities, the City of Bogotá and the Implementing Entities set forth in the Procurement Plan and in accordance with the provisions of Section III of Schedule 2 to this Agreement; (iv) the financial management guidelines to be followed during Project implementation by the Borrower (through MOT), the Participating Cities, the City of Bogotá and the Implementing Entities; (v) the guidelines for the preparation of the Annual Action Plans; (vi) the procedures, criteria and standard guidelines satisfactory to the Bank, for the carrying out of training and technical assistance financed under the Project; (vii) the updated RPF, the EMF, and relevant criteria and guidelines for the development and updating of EMPs and RAPs pursuant to the provisions of Section I.D of Schedule 2 to this Agreement; (viii) the criteria for the selection for Participating Cities; (ix) a construction manual to guide the construction and supervision of works under Part B of the Project (which manual shall include, inter alia, the EMPs, provisions for erosion control, natural habitats’ protection, solid waste management, protection of cultural property, occupational health guidelines, first aid instructions and restriction on the use of child labor); (x) the model forms for Subsidiary Agreements; and (xi) the procedures for the utilization of the proceeds of the Transfers for the implementation of Part B of the Project. Operational Manual. 1. The Recipient, through MSD, shall carry out the Project, or cause the Project to be carried out, in accordance with the terms of a manual satisfactory to the Association (the Operational Manual). Except as the Association shall otherwise agree, the Recipient shall not amend, waive or fail to enforce the Operational Manual or any provision thereof. In case of any conflict between the terms of this Agreement and those of the Operational Manual, the terms of this Agreement shall prevail. 2. The Operational Manual shall include provisions detailing procedures and guidelines for the carrying out of the Project, including, inter alia: (a) the procedures for the preparation, review and approval of reports pursuant to the Project’s financial management arrangements; (b) procurement and contracting procedures consistent with Schedule 2 to this Agreement, to be applicable to the contracts for the works, goods, non-consultant and consultants' services required for the Project and to be financed out of the proceeds of the Credit; (c) Project impact and implementation indicators and the procedures for the monitoring and evaluation of the Project, including for compliance with Section II of Schedule 2 to this Agreement; (d) the procedures for the Recipient’s preparation, review and approval of Credit proceeds withdrawal applications to the Association, in conformity with the instructions that the Association may give to the Recipient in this respect; and (e) the environmental management criteria and procedures for the carrying out of rehabilitation and construction works under the Project and the mechanisms to address the culturally specific needs of the Recipient’s indigenous groups to ensure that the benefits of the Project are culturally appropriate and that there is broad community support for the Project.
Operational Manual. The Operational Manual shall be provided in a format that will allow non technical personnel to learn understand and operate the systems provided. The Contractor shall provide three copies of the Operational Manual. These shall be printed on A4 paper and provided in three ring binders. The contents of the Operational Manuals shall be as follows:  Index;  Description of all systems, their function and purpose and  Description of how to operate each system.
Operational Manual. 1. The Recipient shall carry out the Project in accordance with the provisions of a manual (the Operations Manual), which shall include, inter alia: (a) a detailed description of Project activities and institutional arrangements for the Project, including the eligibility and selection criteria for respective parties’ participation under relevant Parts of the Project; (b) the Project administrative, accounting, auditing, reporting, financial (including cash flow aspects in relation thereto), procurement and disbursement procedures; (c) the forms of Parametric Insurance Contracts including the policies and procedures that govern the Insurance Payouts; and (d) the terms and conditions to be included in the Risk Transfer Contracts. 2. Except as the Recipient and the World Bank may otherwise agree in writing, the Recipient shall not abrogate, amend, suspend, waive or otherwise fail to enforce the Operations Manual or any provision thereof.

Operational Manual. Without limitation to the provisions of Article V of the General Conditions, the Borrower shall, and shall cause SANEP in respect of Part III.3 of the Project to, carry out the Project in accordance with the Operational Manual, satisfactory to the Bank, containing, inter alia: 1. the functions, responsibilities and training requirements for the personnel responsible for the coordination, monitoring and evaluation of the Project, including the UGP, UAP, the Superior Council and the Technical Council; 2. procedures for procurement of goods, works and services, as well as for financial management, disbursement and audits of the Project and respective forms, reports and guidelines; 3. the indicators to be used in the monitoring and evaluation of the Project (Performance Indicators); 4. the Environmental Assessment and Management Framework and the Resettlement Framework; and 5. the requirements for the preparation and approval of Business Plans. In case of any conflict between the provisions of this Agreement and those of the Operational Manual, the provisions of this Agreement shall prevail.
Operational Manual. (a) The Recipient, through the MOEW, shall take all action required to ensure that the Operational Manual is applied and followed at all times in the implementation, monitoring and evaluation of Parts B and C of the Project. (b) Except as the Bank shall otherwise agree, the Recipient, through the MOEW, shall not amend, abrogate or waive the Operational Manual or any provision thereof.

Without limitation upon the provisions of Article V of the General Conditions, the Borrower shall carry out and cause the Operation to be carried out in accordance with the Operational Manual, which shall include, inter alia: (a) the Program Action Plan; (b) the Program Fiduciary, Environmental and Social Systems; (c) the Annual Targets and Verification Protocol for DLIs and DLRs and the Result Monitoring Framework; (d) the terms of reference for the Independent Verification Agency; (e) the functions, responsibilities and composition of the PMU, including its obligation to comply with the Anti-Corruption Guidelines and follow-up on any related allegation; (f) a detailed description of the activities and institutional arrangements for the Operation, including the technical, administrative and fiduciary functions of the Implementing Agencies and the Participating Municipalities; (g) the budget lines and detailed expenditures under the Program; (h) the Project administrative, accounting, auditing, reporting, financial (including cash flow aspects in relation thereto), procurement and disbursement procedures; (i) the monitoring indicators for the Project; (j) the grievance mechanism; and
Operational Manual. Without limitation to the provisions of Article V of the General Conditions, the Borrower shall carry out the Project in accordance with the Operational Manual, satisfactory to the Bank, containing, inter alia: (a) the functions, responsibilities and training requirements for the personnel responsible for the coordination, monitoring and evaluation of the Project, including the PMU; (b) procedures for procurement of goods, works and services, as well as for financial management, disbursement and audits of the Project and the respective forms, reports and guidelines; (c) the indicators to be used in the monitoring and evaluation of the Project; (d) the eligibility and selection criteria of the Subprojects as set forth in the Call for Proposals, the requirements and operating guidelines applicable to the Subprojects, size of eligible contracts, and in respect of each type of Subprojects, the Outputs, the Unit Cost of such Outputs as per the agreed typologies, and the PPA Performance Indicators; (e) a PPA model; (f) the Environmental Management Plan and the Resettlement Policy Framework; and (g) the counterpart funding requirements of the Project. In case of any conflict between the provisions of this Agreement and those of the Operational Manual, the provisions of this Agreement shall prevail.
