Operational Requirements of the KLWTD Agreement. The Company acknowledges and agrees that the Village has entered into the KLWTD Agreement, which is incorporated and made part of this Agreement. The Company shall operate and maintain the Wastewater Facilities in accordance with the terms, conditions and requirements of the KLWTD Agreement as set forth in Appendix 8 attached to this Agreement. Should the Company fail to comply with the terms, conditions and requirements of the KLWTD Agreement set forth in Appendix 8 at any time during the Contract Time or Operations Period, and this failure results in the charge, billing or assessment of any surcharges, penalties or fines imposed by KLWTD against the Village, the Company shall reimburse the Village for any and all such surcharges, penalties or fines within thirty (30) days of imposition by the KLWTD. Payments to the Village due from the Company for any such surcharge, penalty or fines may be deducted by the Village from the Design/Build Price or any Service Fees payable to the Company.

  • Operational Requirements 4 At-Sea Monitors are deployed, in accordance with coverage rates developed by 5 NMFS and as assigned through the Pre-Trip Notification System (PTNS), to 6 vessels. Due to availability of funding, changes in the fishery management, 7 such as emergency closures, court ordered closures, weather, and unforeseen 8 events must remain flexible.   • Federal Requirements Pertaining to Grants and Subrecipient Agreements A. Requirement to Have a Single Audit: In the case that this Agreement is a Grant that is funded in whole or in part by federal funds, the Subrecipient will complete the Subrecipient Annual Report annually within 45 days after its fiscal year end, informing the State of Vermont whether or not a Single Audit is required for the prior fiscal year. If a Single Audit is required, the Subrecipient will submit a copy of the audit report to the granting Party within 9 months. If a single audit is not required, only the Subrecipient Annual Report isrequired. For fiscal years ending before December 25, 2015, a Single Audit is required if the subrecipient expends $500,000 or more in federal assistance during its fiscal year and must be conducted in accordance with OMB Circular A-133. For fiscal years ending on or after December 25, 2015, a Single Audit is required if the subrecipient expends $750,000 or more in federal assistance during its fiscal year and must be conducted in accordance with 2 CFR Chapter I, Chapter II, Part 200, Subpart F. The Subrecipient Annual Report is required to be submitted within 45 days, whether or not a Single Audit is required.

  • Environmental Requirements C7.1 The Contractor shall, when working on the Premises, perform its obligations under the Contract in accordance with the Authority’s environmental policy, which is to conserve energy, water, wood, paper and other resources, reduce waste and phase out the use of ozone depleting substances and minimise the release of greenhouse gases, volatile organic compounds and other substances damaging to health and the environment.
