Opinion; Enforceability; Expenses. The Arbitrators are to be required to render a reasoned written opinion in support of their final decision, setting forth findings of fact, legal analysis and, subject to the limitations set forth herein, the award. The decision rendered by the Arbitrators will be final and binding upon the Parties. Judgment upon the decision and any award made by the Arbitrators is permitted to be entered in any court of competent jurisdiction. The non-prevailing Party in any Binding Arbitration (as determined by the Arbitrators) shall pay the reasonable fees and expenses (including reasonable attorneysfees and costs) of the prevailing Party. The Parties will otherwise be responsible for their own expenses in connection with such Binding Arbitration.

Opinion; Enforceability; Expenses. The Arbitrators are to be required to render a reasoned written opinion in support of their final disposition of any Dispute, setting forth findings of fact, legal analysis and, subject to the limitations set forth herein, the award. The Arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could order or grant, including, without limitation, specific performance of any obligation created under any agreement between or among any of the Parties, the issuance of an injunction, or the imposition of sanctions for abuse or frustration of the arbitration process; provided, however, that the arbitrator shall not have the authority to award punitive or other damages not measured by the prevailing party’s actual damages, except as may be required by statute or as otherwise permitted under this Agreement. The Arbitrator shall have the authority to determine the comparative responsibility of the Parties for any Loss and assign liability and award relief based upon such comparison. Arbitration of such issues, including the determination of the amount of any Losses suffered by any Party, shall be to the exclusion of any court of law and the decision of the arbitrator shall be final and binding upon the Parties and their respective personal representatives, heirs, devisees, successors and assignees. Judgment upon the award made by the Arbitrators is permitted to be entered in and enforced by any court of competent jurisdiction. Each Party shall bear its own expenses and its attorney’s fees and expenses in connection with the Binding Arbitration, and shall equally share the Arbitrator’s fees, administrative fees and travel expenses; provided that the Arbitrator shall award to the prevailing Party, if any, as determined by the Arbitrator, all of the prevailing Party’s reasonable costs and expenses (including reasonable attorneysfees and costs).

  • Litigation; Enforceability The Borrower or any other Loan Party shall disavow, revoke or terminate (or attempt to terminate) any Loan Document to which it is a party or shall otherwise challenge or contest in any action, suit or proceeding in any court or before any Governmental Authority the validity or enforceability of this Agreement, any Note or any other Loan Document or this Agreement, any Note, the Guaranty or any other Loan Document shall cease to be in full force and effect (except as a result of the express terms thereof).

  • Authority; Execution and Delivery; Enforceability (a) The Company has all requisite corporate power and authority to execute and deliver this Agreement, to perform its obligations hereunder and to consummate the Merger and the Transactions, subject, in the case of the Merger, to the receipt of the Company Shareholder Approval. The Company Board, by a unanimous vote at a meeting duly called on or prior to the date of this Agreement at which a quorum of directors of the Company was present, adopted resolutions (i) approving this Agreement, the Merger and the Transactions, (ii) determining that entering into this Agreement, the Merger and the Transactions are fair to, and in the best interests of, the Company and its shareholders, (iii) declaring this Agreement, the Merger and the Transactions advisable and (iv) recommending that the Company’s shareholders adopt this Agreement, the Merger and the Transactions (such recommendation, the “Company Board Recommendation”) and directing that this Agreement and the Merger be submitted to the Company’s shareholders at a duly held meeting of such shareholders for such purpose (the “Company Shareholders Meeting”), and such resolutions remain in full force and effect and have not been amended or withdrawn (except as, and only to the extent, expressly permitted by Section 5.02(c)). Except for the adoption of this Agreement by the affirmative vote of the holders of two-thirds of the outstanding Company Common Shares and Company Voting Preferred Shares, voting as a single class, in each case entitled to vote at the Company Shareholders Meeting (the “Company Shareholder Approval”), no other corporate proceedings on the part of the Company are necessary to authorize, adopt or approve this Agreement or to consummate the Merger and the Transactions (except for the filing of the Certificate of Merger with the Secretary of State pursuant to the OGCL). The Company has duly executed and delivered this Agreement and, assuming the due authorization, execution and delivery by each of Parent and Merger Sub, this Agreement constitutes its legal, valid and binding obligation, enforceable against it in accordance with its terms, subject to the Bankruptcy and Equity Exception.
