Opinion of Corporate Counsel for the Company. Corporate counsel for the Company, shall have furnished to the Representative, at the request of the Company, his written opinion statement, dated the Closing Date and addressed to the Initial Purchasers, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex E hereto.
Opinion of Corporate Counsel for the Company. On each of the First Closing Date and each Option Closing Date the Representatives shall have received the opinion and negative assurance letter of Gxxxxx, Dxxx & Cxxxxxxx LLP, corporate counsel for the Company, dated as of such date, in form and substance reasonably satisfactory to the Representatives.
Opinion of Corporate Counsel for the Company. The Placement Agent shall have received on the Closing Date an opinion of corporate legal counsel to the Company, dated as of such Closing Date, including, without limitation, a negative assurance letter addressed to the Placement Agent and in form and substance reasonably satisfactory to the Placement Agent.
Opinion of Corporate Counsel for the Company. The Underwriters shall have received an opinion letter of Kxxxxx X. Xxxxxx, Chief Legal Officer of and counsel for the Company, dated the Closing Time substantially in the form agreed to between counsel for the Company and counsel for the Underwriters on or prior to the date hereof.
