Parent and Surviving Corporation shall have received the opinion of Broad and Cassxx xxxed as of the Closing Date, in form and substance satisfactory to Surviving Corporation's and Parent's counsel, subject to reasonable qualifications and exceptions, as set forth on Exhibit 8.1(f). This Opinion of Counsel shall also set forth that any shareholders who are not parties to this Agreement have given all required consents and waived all dissenters rights required by or provided by Florida law.
