The Company and the Shareholders shall have duly performed in all material respects all of the covenants, acts and undertakings to be performed by it or them on or prior to the Closing Date, and the Company shall deliver to the Purchaser a certificate dated as of the Closing Date and signed on its behalf by a duly authorized officer of the Company certifying to the fulfillment of this condition and the condition set forth in Section 5.2.1 provided that such officer's execution thereof as an officer of the Company is not intended to expand his personal liability as a Principal Shareholder under Article II hereof.
