Opinion of Counsel to Borrowers. The Administrative Agent (or Special Counsel) shall have received favorable written opinions (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Xxxxx Day and Xxxxxxx Xxxxxxxx Xxxxxx LLP, each as counsel to the Borrowers, covering such matters relating to the Borrowers, this Agreement, the other Loan Documents or the Transactions as the Administrative Agent shall request (and each Borrower hereby requests such counsel to deliver such opinions).

The opinions hereinafter expressed are subject to the fact that I am a member of the State Bar of Arizona and do not hold myself out as an expert on the laws of other states or jurisdictions except (i) the federal law of the United States of America, (ii) the General Corporation Law of the State of Delaware, and (iii) the laws of New York relevant to the opinions herein expressed. Based upon the foregoing and having regard to legal considerations which I have deemed relevant, it is my opinion that:
