Opinion of Counsel to the City. The Lender shall have received a written opinion of counsel to the City covering matters relating to the transactions contemplated by the Series 2021 Note, this Agreement and the financing documents, in form and substance satisfactory to the Lender.

Opinion of Counsel to the City. The Bank shall have received a written opinion of counsel to the City, addressed to the Bank, dated the Closing Date in the form and substance satisfactory to the Bank and Bank Counsel.
