Opinion of Initial Purchaser’s Counsel. The Initial Purchaser shall have received on the Closing Date or Option Closing Date, as the case may be, an opinion of Xxxxxx Xxxxxxx Xxxxxxxx & Xxxxxx, Professional Corporation, counsel for the Initial Purchaser, dated the Closing Date or the Option Closing Date, as the case may be, in form and substance satisfactory to the Initial Purchaser.

Opinion of Initial Purchaser’s Counsel. On each Closing Date, there shall have been furnished to the Representative, such opinion or opinions from Gxxxxxx Procter LLP, counsel to you, dated such Closing Date and addressed to you, with respect to the formation of the Company, the enforceability of the Securities and the Indenture, the Time of Sale Disclosure Package, the Offering Memorandum and other related matters as you reasonably may request, and such counsel shall have received such papers and information as they request to enable them to pass upon such matters.
