Common use of Opinion of Intellectual Property Counsel for the Company Clause in Contracts

Opinion of Intellectual Property Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Underwriter shall have received the opinion of XxXxxxxxx Will & Xxxxx LLP, counsel for the Company with respect to intellectual property matters, dated as of such date, in a form reasonably satisfactory to the Underwriter.

Opinion of Intellectual Property Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Underwriter Representative shall have received the opinion of XxXxxxxxx Will Fxxxx & Xxxxx Lardner LLP, counsel for the Company with respect to intellectual property matters, dated as of such date, in a the form reasonably and substance satisfactory to the UnderwriterUnderwriters.
