Common use of Opinion of Special Intellectual Property Counsel for the Company Clause in Contracts

Opinion of Special Intellectual Property Counsel for the Company. Pxxxxxx Xxxxx & Exxxx, LLP special counsel for the Company for Intellectual Property matters, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C hereto.

Opinion of Special Intellectual Property Counsel for the Company. Pxxxxxx Xxxxx At Closing Time, the Representatives shall have received an opinion, dated as of Closing Time, of Wxxxxx Xxxxxxx Xxxxxxxx & ExxxxRxxxxx, LLP Professional Corporation, special intellectual property counsel for the Company for Intellectual Property matters, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to counsel for the RepresentativesUnderwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Annex Exhibit C hereto, and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Special Intellectual Property Counsel for the Company. Pxxxxxx Xxxxx On the Closing Date, the Representative shall have received the opinion of Xxxxxx Xxxxxxx Xxxxxxxx & ExxxxXxxxxx P.C., LLP special intellectual property counsel for the Company for Intellectual Property matters, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, Representative substantially in the form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex of Exhibit C attached hereto.

Pxxxxxx Xxxxx & ExxxxXxXxxxxx LLP, LLP special intellectual property counsel for the Company for Intellectual Property mattersand the Guarantor, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, substantially in the form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C E hereto.
