Opinions of Counsel for Underwriters. At or before the Closing Time, the Representatives shall have received the favorable opinions and disclosure letters of Xxxxx Xxxx Xxxxxxxx LLP, U.S. counsel for the Underwriters dated as of the Closing Time and in form and substance satisfactory to them, together with signed or reproduced copies of such letter for each of the other Underwriters.
Opinions of Counsel for Underwriters. The favorable opinions of Xxxxx Xxxxx & Xxxxxxx and Xxxxx & Xxxx LLP, Australian Counsel and U.S. Counsel, respectively, for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(d) hereof.
Opinions of Counsel for Underwriters. If requested by the Representative(s), the favorable opinion of each of Xxxxxx Xxxxxx & Xxxxxxx LLP and Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP, counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinions required by Section 5(c) hereof.
Opinions of Counsel for Underwriters. At the Time of Payment, the Representatives shall have received the opinions and letters, reasonably satisfactory to them, dated as of the Closing Date, of (i) Xxxxxxx Xxxxxxx & Xxxxxxxx LLP, U.S. counsel for the Underwriters, and (ii) Xxxxxxxx Mori & Tomotsune, Japanese counsel for the Underwriters, together with signed or reproduced copies of such opinions and letters for each of the other Underwriters. Such counsel may state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of MUFG and its subsidiaries and certificates of public officials.
Opinions of Counsel for Underwriters. The favorable opinion of Sidley Austin LLP, counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinions of Counsel for Underwriters. The Representative shall have received from each of Xxxxxx & Xxxxxx LLP, counsel for the Underwriters, and Shearman & Sterling LLP, co-counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representative may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. In rendering such opinions, Xxxxxx & Xxxxxx LLP and Shearman & Sterling LLP may rely as to all matters governed by Maryland law upon the opinion of Arent Fox PLLC referred to above.
Opinions of Counsel for Underwriters. At the Closing Time, the Representative(s) shall have received the favorable opinion, dated the Closing Time, of each of (i) Xxxxxx Xxxxxx & Xxxxxxx LLP and (ii) Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP, counsel for the Underwriters, in form and substance satisfactory to the Representative(s), together with signed or reproduced copies of such letter for each of the other Underwriters. In giving such opinion such counsel may rely, as to all matters governed by the laws of jurisdictions other than the law of the State of New York, the General Corporation Law of the State of Delaware and the federal securities laws of the United States, upon the opinions of counsel satisfactory to the Representative(s). Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers and other representatives of the Company and its subsidiaries and certificates of public officials.
Opinions of Counsel for Underwriters. The favorable opinion of Morrxxxx & Xoerxxxx XXX, U.S. counsel for the Underwriters, together with the favorable opinion of Blake, Cassxxx & Xrayxxx, xxecial Canadian counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Sections 5(d) and (e), respectively, hereof.
Opinions of Counsel for Underwriters. The Representatives shall have received from Xxxxxx Xxxxxx, Xxxxxx Teles, Xxxxxx xx Xxxxx & Associados, Sociedade de Advogados, RL and Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP, counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, and the Selling Stockholders and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. In rendering its opinion, Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP may rely as to the incorporation of the Company and all other matters governed by Portuguese law upon the opinion of Xxxxxx Xxxxxx, Xxxxxx Teles, Xxxxxx xx Xxxxx & Associados, Sociedade de Advogados, RL referred to above.
