Opinions of Counsel to the Credit Parties. The Administrative Agent and its counsel shall have received originally executed copies of the favorable written opinions of Xxxx, Weiss, Rifkind, Xxxxxxx & Xxxxxxxx LLP and Xxxxxxxxx Xxxxxxx & Xxxxx, counsel for the Credit Parties, as to such matters as the Administrative Agent may reasonably request, dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent (and the Credit Parties hereby instruct such counsel to deliver such opinions to the Administrative Agent and its counsel).

Opinions of Counsel to the Credit Parties. The Administrative Agent shall have received executed copies of the favorable written opinions of counsel to the Credit Parties opining as to such matters as the Administrative Agent may reasonably request, dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent (and each Credit Party hereby instructs such counsel to deliver such opinions to the Administrative Agent and the Lenders).
Opinions of Counsel to the Credit Parties. Administrative Agent shall have received sufficient copies of originally executed opinions of counsel for each Lender (and each Credit Party hereby instructs such counsels to deliver such opinions to Administrative Agent, which shall forward such opinions to each Lender) as follows: (i) Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP, as special Delaware corporate and New York counsel to the Credit Parties, in the form of Exhibit D-1, (ii) Xxxxxx Xxxx, as General Counsel of Holdings with respect to Delaware corporate and New York law, in the form of Exhibit D-2, (iii) Xxxxxxx, Del Deo, Dolan, Griffinger & Xxxxxxxxx, as special New Jersey counsel to J. Crew Inc., in the form of Exhibit D-3, and (iv) Xxxxxxxx, Xxxxxx & Finger, P.A., as special Delaware UCC counsel to the Credit Parties, in the form of Exhibit D-4, each dated as of the Closing Date.
Opinions of Counsel to the Credit Parties. Favorable opinions of Buchanan Ingersoll Professional Corporation, special counxxx xxx txx Xxxxxx Parties, and Colin Higgin, Deputy General Counsel of Adelphia, in subsxxxxxxxxx xxe form of Exhibit C-1 and C-2, respectively, and otherwise reasonably satisfactory to the Administrative Agent and the Lenders (and each Credit Party hereby requests such counsel to deliver such opinions).
Opinions of Counsel to the Credit Parties. The Administrative Agent shall have received opinions addressed to the Agents and each Lender, dated the Effective Date of (i) Thomas R. O'Brien, Esquire, Senior Vice President and General Counsxx xx xxx Xxxxxxx, (ii) White & Case LLP, special New York counsel to the Credit Parties, and (iii) local counsel in each jurisdiction where a Mortgaged Property is located, each in a form reasonably satisfactory to the Administrative Agent.

  • Opinions of Counsel to Credit Parties Agents and Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for Credit Parties, as to such matters as Administrative Agent or Arrangers may reasonably request, dated as of the Closing Date and in form and substance reasonably satisfactory to Administrative Agent and Arrangers (and each Credit Party hereby instructs such counsel to deliver such opinions to Agents and Lenders).

  • Opinions of Counsel to Loan Parties Lenders shall have received executed copies of one or more favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for Loan Parties and (ii) general counsel to Company, each dated as of the Closing Date and reasonably satisfactory to Administrative Agent and as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).
