Opinions of Counsel to Loan Parties. Lenders shall have received executed copies of one or more favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for Loan Parties and (ii) general counsel to Company, each dated as of the Closing Date and reasonably satisfactory to Administrative Agent and as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).
Opinions of Counsel to Loan Parties. Administrative Agent shall have received executed copies of one or more favorable written opinions of (i) Xxxxxx & Xxxxxxx LLP, special counsel to Company and (ii) Xxxxx X. Xxxxxxx, general counsel of the Company, in each case in form and substance reasonably satisfactory to Agents and their counsel, dated as of the Closing Date (this Agreement constituting a written request by Loan Parties to such counsel to deliver such opinions to Lenders).
Opinions of Counsel to Loan Parties. Lenders shall have received originally executed copies of one or more favorable written opinions of Xxxxxx & Xxxxxxx, LLP, counsel for Loan Parties, in form and substance reasonably satisfactory to Administrative Agent and its counsel, addressed to Administrative Agent and Lenders and dated as of the Closing Date and setting forth substantially the matters in the opinions designated in Exhibit VIII annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).

Lenders shall have received originally executed copies of one or more favorable written opinions of special counsel to Company, Xxxxxx & Xxxxxxx, and other counsel for Loan Parties, in form and substance reasonably satisfactory to Agents and their counsel, dated as of the Closing Date and setting forth substantially the matters in the opinions designated in EXHIBIT XI annexed hereto and as to such other customary matters as Agents acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Loan Parties to such counsel to deliver such opinions to Lenders).
Opinions of Counsel to Loan Parties. Lenders shall have received (i) originally executed copies of one or more favorable written opinions of Xxxxx Xxxx & Xxxxxxxx, special New York counsel for Loan Parties, and of Spolin & Xxxxxxxxx, counsel for Loan Parties, dated as of the Closing Date in the form of EXHIBIT X-1 and X-2 annexed hereto and as to such other matters as Agents acting on behalf of Lenders may reasonably request.
Opinions of Counsel to Loan Parties. The Agents and the Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions of Wachtell, Lipton, Rxxxx & Kxxx, as New York counsel to the Loan Parties, Pxxxxxxx, Jxxxx & Exxxxx, P.A. as Delaware counsel to the Loan Parties, Kxxxxx Xxxxxx Rosenman, as California counsel to the Loan Parties, De Brauw Blackstone Westbroek N.V., as Dutch counsel to the Loan Parties, Loyens & Loeff (USA) B.V., as Dutch counsel to the Administrative Agent, Hengeler Mxxxxxx, as German counsel to the Loan Parties, Lxxxxx & Wxxxxxx LLP, as German counsel to the Administrative Agent, Goodmans, as Canadian counsel to the Loan Parties, Advocats BCF, as Quebec counsel to the Loan Parties, and Mxxx X. Xxxxxxx, as general counsel of the Loan Parties, as to such matters as the Administrative Agent may reasonably request, dated as of the Restatement Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent (and each Loan Party hereby instructs such counsel to deliver such opinions to the Agents and the Lenders).
Opinions of Counsel to Loan Parties. The Agents and the Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions of Sheppard, Mullin, Xxxxxxx & Xxxxxxx and Xxxx Xxxxxx, counsel for Loan Parties, in the form of Exhibit D-1 and Exhibit D-2 and as to such other matters as the Administrative Agent may reasonably request, dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent (and each Loan Party hereby instructs such counsel to deliver such opinions to the Agents and the Lenders).
Opinions of Counsel to Loan Parties. The Agent and its counsel shall have received executed copies of the favorable written opinions of counsel to the Loan Parties as to such matters as the Agent and the Lenders may request, including with respect to the creation and perfection of the security interests, dated as of the Closing Date, and otherwise in form and substance reasonably satisfactory to the Agent and the Lenders.
Opinions of Counsel to Loan Parties. Lenders and their respective counsel shall have received originally executed copies of favorable written opinions, each dated as of the Amendment Effective Date and otherwise in form and substance, and from counsel reasonably satisfactory to Administrative Agent, and each such Loan Party hereby instructs such counsel to deliver such opinions to Administrative Agent and Lenders.
Opinions of Counsel to Loan Parties. The Administrative Agent shall have received from (i) Kxxxxxxx & Exxxx LLP, special counsel to the Loan Parties, (ii) Lxxxx Xxxx LLC, local counsel to the Loan Parties organized under the laws of the states of Missouri, and (iii) Holland & Knight LLP, local counsel to the Loan Parties organized under the laws of the states of Virginia, Georgia, Maryland, Pennsylvania and Florida, an opinion addressed to the Administrative Agent and the Lenders and dated the Closing Date, which opinions shall be in form and substance reasonably satisfactory to the Administrative Agent.
