Opinions of Counsel to the Loan Parties. The Administrative Agent shall have received, on behalf of itself, the Collateral Agent and the Lenders, a favorable written opinion of Xxxxxxxx & Xxxxx LLP, counsel for the Loan Parties (A) dated the Closing Date, (B) addressed to the Administrative Agent, the Collateral Agent and the Lenders, and (C) covering such other matters relating to the Loan Documents as the Administrative Agent shall reasonably request and that are customary to cover in transactions of this type, and the Borrower hereby requests such counsel to deliver such opinions.
Opinions of Counsel to the Loan Parties. The Administrative Agent shall have received an opinion of (A) Hale and Dorr, counsel to the Loan Parties, and (B) Garry Watzxx, Esq., Genexxx Counsel of the Loan Parties, eacx xxxxxxxxx to the Administrative Agent, the other Credit Parties and Special Counsel, dated the Merger Effective Date and in form and substance satisfactory to the Administrative Agent.
Opinions of Counsel to the Loan Parties. The Administrative Agent shall have received written opinions (dated as of the Tranche A Funding Date and addressed to the Administrative Agent, the Lenders and the Collateral Agent) of (i) King & Spalding LLP, special New York counsel to the Loan Parties, and (ii) Xxxxx & Xxxxxx, LLP, special California counsel to the Loan Parties, in each case, in form and substance reasonably satisfactory to the Administrative Agent.
Opinions of Counsel to the Loan Parties. The Administrative Agent shall have received (i) an opinion of Xxxx and Xxxx, LLP, special counsel to the Loan Parties, substantially in the form of Exhibit O, and (ii) an opinion of Xxxxx Xxxxxx, Esq., General Counsel of the Loan Parties, substantially in the form of Exhibit P, each addressed to the Administrative Agent, the Lenders and Special Counsel and each dated the Second Restatement Date.
Opinions of Counsel to the Loan Parties. The Lenders shall have received favorable opinions of:
(i) Xxxxxxxx Chance US LLP, counsel to the Loan Parties;
(ii) opinions of special counsel for the Agent, dated the Closing Date and covering such additional matters relating to the Transactions as the Agent may reasonably request; and 107 (iii) opinions of special counsel for certain Loan Parties in each of the jurisdictions in which the Agent may reasonably request.
Opinions of Counsel to the Loan Parties. The Administrative Agent and the Lenders shall have received customary written opinions (dated as of the Closing Date and addressed to the Administrative Agent, the Collateral Agent and the Lenders) of (i) Xxxxxx, Xxxx & Xxxxxxxx LLP, as New York counsel to the Loan Parties and (ii) Browning, Kaleczyc, Xxxxx & Xxxxx, P.C., as Montana counsel to the Loan Parties, in each case, in form and substance reasonably satisfactory to the Lenders.
Opinions of Counsel to the Loan Parties. The Lenders shall have received favorable opinions of:
(i) Xxxxxxxx Chance US LLP, counsel to the Loan Parties, substantially in the form of Exhibit H-2 hereto;
(ii) opinions of special counsel for the Agent, dated the Closing Date and covering such additional matters relating to the transactions contemplated hereby as the Agent may reasonably request; and
(iii) opinions of special counsel for certain Restricted Subsidiaries of the Company in each of the jurisdictions in which the Agent may reasonably request, substantially in the form of Exhibit H-3 hereto.
Opinions of Counsel to the Loan Parties. Receipt by the Administrative Agent of favorable opinions of legal counsel to the Loan Parties, addressed to the Administrative Agent and the Lenders, dated as of the date hereof, and in form and substance satisfactory to the Administrative Agent, the Lenders and their counsel.
Opinions of Counsel to the Loan Parties. The Administrative Agent shall have received a favorable opinions of (i) Schixx Xxxxxx & Xaitx, xxunsel to the Loan Parties, and (ii) Jamex X. Xxxx, Xxneral Counsel of the Borrower, addressed to the Credit Parties (and permitting Special Counsel to rely thereon), dated the Effective Date, substantially in the forms of Exhibit E-1 and E-2, respectively.
Opinions of Counsel to the Loan Parties. Opinions, each dated the Effective Date, of White & Case LLP, special New York counsel for the Loan Parties reasonably satisfactory to the Administrative Agent and its counsel.
