Opportunity to Verify Information. Without limitation of such Earthstone Party’s rights under Section 6.1, or the disclaimers contained in Section 6.5, subject to Purchaser’s rights to access the Assets to conduct a due diligence review in accordance with this Agreement, Purchaser and its representatives have, or will have before Closing, (a) been permitted full and complete access to all materials relating to the Assets, (b) been afforded the opportunity to ask all questions of Seller (or one or more Persons acting on Seller’s behalf) concerning the Assets, (c) been afforded the opportunity to investigate the condition, including the subsurface condition, of the Assets, and (d) had the opportunity to take such other actions and make such other independent investigations as Purchaser deems necessary to evaluate the Assets and understand the merits and risks of an investment therein and to verify the truth, accuracy, and completeness of the materials, documents, and other information provided or made available to Purchaser (whether by Seller or otherwise). Without limiting or impairing any representation, warranty, covenant or agreement of Seller contained in this Agreement and the Transaction Agreements, or Purchaser’s right to rely thereon and Purchaser’s rights pursuant to Article 11, PURCHASER HEREBY WAIVES ANY CLAIMS ARISING OUT OF ANY MATERIALS, DOCUMENTS, OR OTHER INFORMATION PROVIDED OR MADE AVAILABLE TO PURCHASER (WHETHER OR NOT BY SELLER), WHETHER UNDER THIS AGREEMENT, AT COMMON LAW, BY STATUTE, OR OTHERWISE.

Opportunity to Verify Information. As of the Closing, Buyer has been afforded the opportunity to ask questions of the Seller (or a person or persons acting on its behalf) concerning the Properties, and Buyer has been furnished with materials relating to the Properties requested by Buyer under this Agreement. Buyer has made its own independent investigation of the Properties to the extent necessary to evaluate the Properties.
Opportunity to Verify Information. Buyer or one of its affiliates, as general partner of Seller and operator of the Oil and Gas Properties, has knowledge of the operations conducted on the Oil and Gas Properties and of Seller’s title to the Properties. As of the Closing, Buyer has been furnished with materials relating to the Properties requested by Buyer under this Agreement and has been afforded the opportunity to ask questions of the Seller (or a person or persons acting on its behalf) concerning the Properties. Buyer has made its own independent investigation of the Properties to the extent necessary to evaluate the Properties. At Closing, Buyer shall be deemed to have knowledge of all facts contained in all materials, documents and other information which Buyer or one of its affiliates has obtained as general partner of the Seller and as operator of the Oil and Gas Properties, or which have otherwise been furnished to Buyer, or to which Buyer has otherwise been given access.
Opportunity to Verify Information. The Investor acknowledges that representatives of the Government have made available to the Investor, during the course of this transaction and prior to the purchase of any Interest, the opportunity to ask questions of and receive answers from them concerning the terms and conditions of the Interest purchased hereby, and to obtain any additional information necessary to understand the information contained in the Tender Documents or otherwise relative to the proposed activities of the Partnership or to otherwise evaluate the merits and risks of an investment in the Interest. The Investor has not relied on any representations or warranties other than those made in the Agreement.

Opportunity to Verify Information. As of the Closing Buyer has, and Buyer’s agents and representatives have, been afforded the opportunity to ask questions of the Seller (or a Person or Persons acting on its behalf) concerning the Properties, and Buyer and/or such agents and representatives has been furnished with all materials relating to the Properties requested by them. In making the decision to enter into this Agreement and consummate the transactions contemplated hereby, Buyer has relied solely on (a) its own independent due diligence investigation of the Properties, and (b) its own expertise and judgment and the advice and counsel of its own legal, land, tax, economic, environmental, engineering, geological and geophysical and other advisors and consultants. At Closing, Buyer shall be deemed to have knowledge of all facts contained in all materials, documents and other information which Buyer has been furnished or to which Buyer has been given access.
Opportunity to Verify Information. During the course of this transaction and prior to the purchase of the Shares, the Buyer and its advisers have been furnished with any and all materials relating to the Company (including the Company Disclosure Materials) requested by the Buyer or such advisors and has been afforded the opportunity to ask questions of the Company concerning the terms and conditions of the acquisition of the Shares, and all such questions have been answered to the full satisfaction of the Buyer or such adviser. The Buyer and each of its advisers have also had the opportunity to obtain any additional information necessary to verify the information contained herein.
