Organisational Documents the Company has delivered or made available to Bidder accurate and complete copies of the Articles of the Company and the equivalent organisational documents of each of its subsidiaries, including all amendments thereto, as in effect on the date of this Agreement;
Organisational Documents. Any amendment is made to any of the Organisational Documents of the Borrower or any other Obligor without the prior written consent of the Facility Agent, which amendment is likely to impair the ability of the Obligors to comply with their respective obligations under the Finance Documents.
Organisational Documents. The Borrower shall not amend its Articles of Association or other Organisational Documents in any respect materially adverse to the interests of the Banks under the Finance Documents, without the prior written consent of the Banks. For the purposes of this clause 16.18, the term “Finance Documents” shall be deemed not to include any shares, Warrants and capital notes issued by the Borrower to the Banks.
Organisational Documents. (a) The Agent shall have received in form and substance satisfactory to it:
(i) a certificate substantially in the form attached as Schedule 17 (Financial Officers’ Certificate), dated the Effective Date, signed by a Financial Officer acting for and on behalf of the Borrower;
(ii) copies of the Organisational Documents of the Borrower; and
(iii) copies of resolutions of the board of directors and minutes of shareholders’ meetings (to the extent relevant) of the Borrower.
(b) The Agent shall have received in form and substance satisfactory to it:
(i) a certificate substantially in the form attached as Schedule 17 (Financial Officers’ Certificate), dated the Effective Date, signed by a Financial Officer acting for and on behalf of the O&M Contractor, the Sponsors and the Shareholders;
(ii) copies of the Organisational Documents of the O&M Contractor, the Sponsors and the Shareholders; and
(iii) copies of resolutions of the board of directors, and minutes of shareholders’ meetings and decisions of other governing bodies (each to the extent relevant), of the O&M Contractor, the Sponsors and the Shareholders.
Organisational Documents the Bidder has delivered or made available to the Company accurate and complete copies of the Articles of the Bidder and the equivalent organisational documents of each of its subsidiaries, including all amendments thereto, as in effect on the date of this Agreement;
Organisational Documents. The Borrower shall not (and shall procure that its Subsidiaries shall not) amend its Articles of Association or other Organisational Documents in any respect materially adverse to the interests of the Bank without the prior written consent of the Bank, unless such amendment is required by law.
Organisational Documents. The Parties agree that, in the event of any conflict between the provisions of this Agreement and the Articles of the Company, the provisions of this Agreement shall prevail. The Parties agree to amend the Articles of the Company so that they reflect the terms and conditions (or portions thereof) of this Agreement: (a) to the extent required by Applicable Law, (b) to the extent necessary or desirable to ensure the enforceability of the provisions hereof to the full extent possible under Applicable Law, or (c) to the extent necessary or desirable resolve any conflict between the provisions of this Agreement and the provisions of the Articles.
Organisational Documents. 4.2.1 The Executive has received copies of the Organizational Documents and is familiar with the contents thereof. The Executive agrees to be bound by, and comply with, the Organizational documents.
Organisational Documents. Each Party shall take any and all action within its power to procure that the Organisational Documents of the Company (including the Articles and any rules, regulations or policies of any governing body thereof) reflect the terms of this Agreement if so requested by a Shareholder, so as to effectuate and preserve the intent of the Parties as set out herein.
Organisational Documents. Without the prior consent of the Senior Agent, any change is made to the Borrower’s Organisational Documents.
