Organization and Standing of the Corporation. The Corporation is duly organized and validly existing and has complied with all requirements to continue its existence under the laws of the State of Delaware, and has the power and authority, corporate and other, to own, lease and use its properties and to transact its business where and as now conducted, and is duly qualified as a foreign corporation in each jurisdiction where the character of its properties it owns, leases or licenses or the nature of its business makes such qualification necessary.

The Corporation is qualified to do business as a foreign corporation under the laws of the Commonwealth of Massachusetts where the failure to so qualify would have a Material Adverse Effect on the Corporation. The Corporation does not own or lease property or engage in any activity in any other jurisdiction that would require its qualification to do business as a foreign corporation in such jurisdiction where the failure to so qualify would have a Material Adverse Effect on the Corporation.
