Film Trading has been duly organized and is validly existing as a Brazilian limited liability company and is duly registered and has an active registration status before the relevant board of trade and national taxpayers’ register, under the laws of Brazil. Each Buyer has the requisite power and authority to own or lease its properties and to conduct its business as it is now being conducted. Each Buyer is duly licensed or qualified and in good standing as a foreign corporation, limited liability company or other Person (or equivalent concept and only if such concept is applicable) in all jurisdictions in which it is required to be so licensed or qualified (or equivalent concept and only if such concept is applicable), except where failure to be so licensed or qualified would not reasonably be expected to prevent, materially delay, materially impair or otherwise have a material adverse effect on, the ability of each Buyer to enter into this Agreement or the other Transaction Documents to which such Buyer is a party or consummate the transactions contemplated hereby.
