Organization of CRC. CRC is a corporation duly ------------------------- organized and validly existing and in good standing under the laws of the state of Delaware and has all corporate power and authority to own, operate and lease its properties and to carry on its business in the places where its business is now conducted and to directly own, lease, and operate its business. CRC is duly qualified and in good standing as a foreign corporation in each jurisdiction in which the nature of its business or the ownership of its properties makes such qualification necessary, except where the failure to be so qualified or in good standing would not have a material adverse effect on the Business Condition. CRC has delivered to P-Com complete and correct copies of its Certificate of Incorporation and Bylaws, and all amendments thereto, and has delivered or provided for P-Com's review complete and correct copies of all minutes of all directors' and stockholders' meetings, complete and accurate as of the date hereof, and stock certificate books of CRC (as of the Closing), which correctly set forth the record ownership of all outstanding shares of capital stock of CRC.
