Each of Buyer and Buyer Sub is a corporation duly organized, validly existing and in good standing under the laws of the State of Colorado or Delaware, respectively, and has the corporate power and authority to own or lease and to operate its properties and to carry on its business as now being conducted. Each of Buyer and Buyer Sub is qualified to transact business and is in good standing in each jurisdiction in which the nature of its business or location of its properties requires such qualification and in which the failure to so qualify would have a material adverse effect on the business or operations of Buyer and Buyer Sub. Each of Buyer and Buyer Sub has previously delivered to the Company complete and correct copies of its respective Certificate of Incorporation and Bylaws.
