Organizational and Authorization Document. Copies of (i) the Articles of Incorporation and Bylaws of the Borrower and each of its Subsidiaries; (ii) resolutions of the board of directors of the Borrower and each of its Subsidiaries approving and authorizing such Person’s execution, delivery and performance of the Loan Documents to which it is party and the transactions contemplated thereby; (iii) signature and incumbency certificates of the officers of the Borrower and each of its Subsidiaries, executing any of the Loan Documents, each of which the Borrower hereby certifies to be true and complete, and in full force and effect without modification, it being understood that the Bank may conclusively rely on each such document and certificate until formally advised by the Borrower of any changes therein; and (iv) good standing certificates in the state of incorporation of the Borrower and each of its Subsidiaries and in each other state requested by the Bank.

Copies of (i) the Articles of Organization (Certificate of Formation) and Operating Agreement of the Borrower; (ii) resolutions of the members of the Borrower approving and authorizing such Person’s execution, delivery and performance of the Loan Documents to which it is part and the transactions contemplated thereby; (iii) signature and incumbency certificates of the members of the Borrower, executing any of the Loan Documents, each of which the Borrower hereby certifies to be true and complete, and in full force and effect without modification, it being understood that the Lender may conclusively rely on each such document and certificate until formally advised by the Borrower of any changes therein; and (iv) good standing certificates in the state of formation of the Borrower and in each other state requested by the Lender.

Copies of (i) the Articles of Organization (Certificate of Formation) and Operating Agreement of the Borrower; (ii) resolutions of the members/ managers of the Borrower approving and authorizing such Person’s execution, delivery and performance of the Loan Documents to which it is party and the transactions contemplated thereby; (iii) signature and incumbency certificates of the members / managers of the Borrower, executing any of the Loan Documents, each of which the Borrower hereby certifies to be true and complete, and in full force and effect without modification, it being understood that the Bank may conclusively rely on each such document and certificate until formally advised by the Borrower of any changes therein; and (iv) good standing certificates in the state of formation of the Borrower and in each other state requested by the Bank.

The Bank shall have received copies of (i) the Articles of Incorporation and Bylaws of the Borrower and each of the Operating Subsidiaries; (ii) resolutions of the board of directors and/or governing body of the Borrower and each of the Operating Subsidiaries approving and authorizing such Person’s execution, delivery and performance of the Loan Documents to which it is party and the transactions contemplated thereby; (iii) signature and incumbency certificates of the officers of the Borrower and each of its Operating Subsidiaries, executing any of the Loan Documents, each of which the Borrower hereby certifies to be true and complete, and in full force and effect without modification, it being understood that the Bank may conclusively rely on each such document and certificate until formally advised by the Borrower of any changes therein; and (iv) good standing certificates in the state of incorporation of the Borrower and each of its Operating Subsidiaries and in each other state requested by the Bank.

Copies of (i) the Articles of Incorporation and Bylaws of the Borrowers and each Guarantor; (ii) resolutions of the shareholders or board of directors of the Borrowers and each Guarantor approving and authorizing such Person’s execution, delivery and performance of the Loan Documents to which it is party and the transactions contemplated thereby; (iii) signature and incumbency certificates of the officers of the Borrowers and each Guarantor, executing any of the Loan Documents, each of which the Borrowers, on behalf of itself and each Guarantor, hereby certify to be true and complete, and in full force and effect without modification, it being understood that the Bank may conclusively rely on each such document and certificate until formally advised by the Borrowers or such Guarantor of any changes therein; and (iv) good standing certificates in the state of incorporation of the Borrowers and each Guarantor and in each other state requested by the Bank.

Copies of (i) the Certificate of Incorporation and By-Laws of BG Staffing, Inc., (ii) the Articles of Incorporation and By-Laws of B G Staff Services, (iii) the Certificate of Formation and Limited Liability Company Agreement of BG Staffing, LLC, (iv) the Certificate of Limited Partnership and Limited Partnership Agreement of each of BG Personnel Services and BG Personnel, (v) resolutions of the managers, members and/or directors, as applicable, of each Borrower (or of each general partner of Borrower with respect to each of BG Personnel Services and BG Personnel), approving and authorizing such Borrower’s delivery and performance of the Loan Documents to which it is party and the transactions contemplated thereby, (v) signature and incumbency certificates of the officers, managers, members and partners, as applicable, of each Borrower executing any of the Loan Documents, each of which such Borrower hereby certifies to be true and complete, and in full force and effect without modification, it being understood that Lender may conclusively rely on each such document and certificate until formally advised by such Borrower of any changes therein, and (vi) good standing certificates in the state of formation, organization and/or incorporation of each Borrower and in each other state requested by Lender.
