SERVICES MANAGEMENT. We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

SERVICES MANAGEMENT i. Contractor shall establish quick response, asynchronous saga patterns whenever possible. ii. Contractor shall draft and maintain documentation for services. iii. Contractor shall work with the Legacy ACES team (state, vendor) and build bi-directional API integration utilizing the API gateway services to ensure Products and legacy system can communicate and exchange data.
SERVICES MANAGEMENT. The work described in Addendum A shall be performed under the coordination and cooperation of both party representatives. Each party shall provide assistance and guidance to the other party as necessary for the successful performance and goals of this Agreement.

SERVICES MANAGEMENT. (a) Broadridge and ADP have established transition teams to lead and coordinate the Transition. (b) Broadridge and ADP shall support the activities of their respective transition teams with the intent of enabling the completion of the Transition as soon as practicable.
SERVICES MANAGEMENT. (a) TRANS-HIGH and GREEN RUSH each agree to appoint one of their respective employees (each, an “Advertising Manager”) who will have overall responsibility for managing and coordinating the delivery of Services, including making available the services of appropriately qualified employees and resources to enable the provision of the Services. The Advertising Managers will meet at least quarterly to review compliance with this Agreement, the Sales Plan and the needs of the Parties. (b) The Parties agree to work together and to cooperate with each other in good faith to develop a quarterly advertising sales plan (“Sales Plan”). Among other things, the Sales Plan will include the pricing guidelines and range of discounts for Ads. Additionally, GREEN RUSH can identify in the Sales Plan any advertisers and/or types of Ads that cannot be sold on behalf of GREEN RUSH and delivered to the Sites. The failure to agree upon a Sales Plan will not be a material breach of this Agreement.

SERVICES MANAGEMENT. ACI is working towards basing its Service Management practices on the Information Technology Infrastructure Library (ITIL V3.0), a world’s best-practice framework for the delivery of IT services. Accordingly, ACI requires that Vendor Service Management practices, which are used to support the Services, also be based on the ITIL V3.0 framework. Vendor responsibilities include the following: a. Deploy a set of service support processes (ITIL V3.0-based) to enable consistent management of process-driven IT services seamlessly across a variable number of vendors. (1) Design processes to enable the effective monitoring and reporting of the IT services in a multi-vendor environment through the appropriate deployment of the relevant tools and procedures globally. (a) The deployment of tools across Vendor and third-party vendor(s) will go through the change management process. b. Coordinate the execution of all the processes across Vendor and all third-party vendor(s) in order that all the individual components that make up the IT services are managed in an end-to-end manner. c. Integrate any systems supporting these processes to provide a seamless view of Service delivery to ACI.
