Formation of the contract and its execution
2.1. Orders taken and/or commitments made by representatives, agents and/or other collaborators of the seller cannot bind the seller in any way; it follows that all orders processed by the aforementioned representatives, agents and collaborators become valid and effective only upon written confirmation from the Sales Office of the seller.
2.2. Any changes to the order will be effective only upon written approval by the Sales Office of the seller.
2.3. The contract may be suspended at any time in case of changes in the financial conditions of the buyer pursuant to and under Art. 1461 of the [Italian] Civil Code, except claims for damages. The seller is given the right to request, in the course of execution of the order or contract, suitable guarantees of payment. The failure to provide the guarantees required will constitute grounds for termination of the contract pursuant to Art. 1456 of the [Italian] Civil Code.
Formation of the. Company and effectiveness of this Agreement is contingent upon approval or non-objection by the OTS to the application/notice to be filed with the OTS by Los Padres to form an operating subsidiary pursuant to OTS Regulations. Los Padres will use good faith efforts in promptly submitting to the OTS all necessary filings and fees required to from an operating subsidiary. This Agreement is also subject to any conditions or terms imposed by the OTS, if any. If OTS approval or non-objection is not obtained then either party may declare this agreement null and void and each party shall bear its respective costs incurred in attempting to form the Company.
Formation of the. Subscription of the Lessee is established by the Lessee creating a Search Enquiry on his or her Account. The Subscription is entered into for the duration of 90 days and may start on any desired day of the month.
Formation of the. Company 2.1
Formation of the. JV ESI and MTA agree to form a JV to manage and control the joint activities intended under this Agreement. The JV shall not carry on its activities in a way that it could be construed to be a partnership for U.S. tax purposes and, ESI and MTA agree to take all reasonable step to avoid such classification. With regard to the recognition of tax attributes, any assets acquired by the JV shall be jointly owned in proportion to the working interest of the parties at the end of the calendar year in question.
Formation of the. JV Company and its share capital
Formation of the personal pay component The personal pay component is formed such that the new base hourly wage is subtracted from the employee’s new time rate (BHW + PPC). The amount remaining is the employee’s new personal pay component.
Formation of the call - off Contract
3.1. The contract shall enter into force upon the date of awarding (hereinafter referred to as the “Effective Date”) and shall be valid for 2 years thereafter and until the parties fulfill all their obligations hereunder.
3.2. IDECO has a right during the agreement validity to amend the contract up to extra one year.
3.3. The contract is not a commitment to purchase by the buyer. Commitment to purchase will only be made when IDECO issues an official purchase order under the terms of the agreement.
3.4. The call off contract shall remain valid for on – call delivery for a period of two years from the date of signing the contract (agreement), and/or the expiration of the total contract quantity, whichever first occurs.
3.5. The required materials under this contract shall be required partially in accordance with number of call-off purchase orders during agreement validity for on-call delivery for a period of two years from the date signing agreement, and/or the expiration of the total contract quantity, whichever first occurs.
3.6. Notwithstanding that the contract and correspondence in connection with the contract shall be in the English language, the contract shall be and be deemed to be a Jordan contract and shall accordingly be governed by and construed cording to the laws for the time being in force in the Hashemite Kingdom of Jordan.
