Organizational Powers. The Borrower has the corporate or other requisite power to execute, deliver and perform and comply with its obligations under this Agreement, any Notes and the other Loan Documents to which it is a party. This Agreement has been, and each other Loan Document to which the Borrower is a party will be, duly executed and delivered on behalf of the Borrower.
Organizational Powers. The Program will provide special education and related services including day treatment services and alternative and individualized programming, and other cooperative educational programs and initiatives as the Board of Directors may direct. The establishment of the Program shall not limit the authority of Members of the Program to enter into any other agreements pursuant to applicable law to provide joint or educational services.
Organizational Powers. The Regional Service Center shall have the power and authority to provide regional functions, programs, and services in accordance with the terms of this Agreement.

Organizational Powers. Each of Holdings, the Borrower and each Restricted Subsidiary:
(a) is a partnership, limited liability company, corporation or trust duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization (to the extent such status or an analogous concept applies to such an organization), except, in the case of Restricted Subsidiaries that do not constitute Credit Parties, where the failure to so qualify would not reasonably be expected to have a Material Adverse Effect;
(b) has all requisite power and authority to own its property and assets and to carry on its business as now conducted, except where the failure to so qualify would not reasonably be expected to have a Material Adverse Effect;
(c) is qualified to do business in each jurisdiction where such qualification is required, except where the failure to so qualify would not reasonably be expected to have a Material Adverse Effect; and
(d) has the power and authority to execute, deliver and perform its obligations under each of the Credit Documents to which it is a party and, in the case of the Borrower, to borrow and otherwise obtain credit hereunder.
Organizational Powers. Provider has and holds the right and power, and all licenses, permits, authorizations, and approvals (governmental or otherwise), necessary to entitle Provider to own and operate its properties and assets, and to carry on its business.

It has the power to execute this Addendum and any other documentation relating to this Addendum to which it is a party, to deliver this Addendum and any other documentation relating to this Addendum that it is required by this Addendum to deliver and to perform its obligations under this Addendum and has taken all necessary action to authorize such execution, delivery and performance

The RSC shall have the power and authority to provide regional functions, programs, and services as the Board of Directors may direct in accordance with the terms of this Agreement. The establishment of the RSC shall not limit the authority of the Parties hereto to enter into any other agreements pursuant to applicable law to provide joint or separate functions, programs, and services, including without limitation superintendent or central office services.
Organizational Powers. Parent, the Borrower and each of its Subsidiaries (other than Appgate Germany GmbH which is in the process of being wound down) is duly organized, validly existing and in good standing under the Laws of its jurisdiction of organization, and has all requisite power and authority to carry on its business as now conducted. Parent, the Borrower and each of its Subsidiaries (other than Appgate Germany GmbH which is in the process of being wound down) is duly authorized, qualified and licensed to do business as a foreign company and is in good standing in all jurisdictions in which the character of the properties and assets now owned or leased by it or the nature of the business transacted by it requires it to be so licensed or qualified, except where the lack of such qualification could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
