Other activities or employment. Except with the Board’s prior written approval, the Chief Executive will not engage in any activity or employment, paid or unpaid, that conflicts with or is likely to conflict with the proper performance of [his/her] functions and duties. 8.3.1 If the Board forms the opinion that any activity engaged in or about to be engaged in by the Chief Executive impinges upon, or is reasonably likely to impinge upon, the proper performance of the Chief Executive’s duties and responsibilities under this Agreement, the Board may after considering any comments from the Chief Executive, direct the Chief Executive to cease or refrain from such activity and the Chief Executive shall act accordingly.
