Other business and conflict of interest. 11.2.1 In the performance of duties under this Agreement the employee agrees not to: a) Have or permit to exist any conflict of interest with the Company, unless the employee at the earliest opportunity has declared all facts establishing the conflict of interest to the Company and obtained the Employer’s consent in writing to the existence of that conflict; or b) Accept payment or other benefits in money or kind from any other person as an inducement or reward for any act in connection with any matter transacted or to be transacted by the Company c) Be engaged, employed, concerned or interested directly or indirectly in any other business, trade, occupation or activity without the employer’s consent in writing. This does not prevent the employee from reasonable involvement in any professional or educational activity or body provided disclosure in writing is made to the employer.
