Other Cessations Clause Samples

The "Other Cessations" clause defines additional circumstances, beyond standard termination events, under which an agreement or contractual relationship may come to an end. This clause typically outlines specific scenarios such as regulatory changes, insolvency, or mutual agreement that would trigger the cessation of obligations between the parties. By clearly identifying these alternative endpoints, the clause ensures both parties understand all possible ways the contract could be concluded, thereby reducing uncertainty and managing risk associated with unforeseen events.
Other Cessations. If the Grantee ceases to spend a majority of the Grantee’s business time providing services to the Company Group for any reason other than under circumstances described in Section 2(b), then, upon such cessation, all Phantom Units granted hereunder that have not previously become time vested (and all rights arising from such Phantom Units and from being a holder thereof) will terminate automatically without any further action by the Company or any other member of the Company Group and will be forfeited without further notice.
Other Cessations. If Employee's employment with the Bank ceases for any reason other than as described in Section 5A, above (including but not limited to termination (1) by the Bank for Cause, (2) as a result of Employee's death, (3) as a result of Employee's Disability, or (4) by Employee without Good Reason), then the Bank's obligation to Employee will be limited solely to the payment of accrued and unpaid Base Salary through the date of such cessation. All compensation and benefits will cease at the time of such cessation and, except as otherwise provided by COBRA, the Bank will have no further liability or obligation by reason of such termination. The foregoing will not be construed to limit Employee's right to payment or reimbursement for claims incurred prior to the date of such termination under any insurance contract funding an employee benefit plan, policy or arrangement of the Bank in accordance with the terms of such insurance contract.
