Other Commercial Stage Exploitations. In the event Producer elects to produce or co-produce a commercial production of the Play, or license a commercial production of the Play to a local presenter, Producer and Authors will negotiate in good faith a long-form agreement (the “Long- Form Agreement”) supplementing this Agreement. The Long-Form Agreement will include production terms that accord with Producer’s production precedents, including, without limitation, royalty terms and alternative subsidiary rights terms. If Authors are members in good standing of the Dramatists Guild at the time of any first class commercial production in the United States or Canada produced or co-produced by Producer, the Long-Form Agreement will be in the form of an Article XXII to the APC and certifiable by the Dramatists Guild. The obligation to obtain Dramatists Guild certification shall not act to divest Producer of any of its rights hereunder which have vested prior to Authors and Producer seeking such certification. The Long-Form Agreement will incorporate all of the provisions of this Agreement without any change except for grammatical purposes.
