The 'Other Corporate Services' clause defines the scope of additional business support services that a provider may offer to a client beyond the primary services outlined in the main agreement. These services can include administrative assistance, compliance support, or secretarial functions, and are typically specified in an annex or agreed upon as needed during the contract term. The core function of this clause is to clarify the availability and terms of supplementary services, ensuring both parties understand what extra support can be provided and under what conditions, thereby preventing misunderstandings and facilitating smoother business operations.
Other Corporate Services. The Hyatt Group provides a number of other corporate services and programs for the benefit of Participating Hotels for which reimbursement is made on a cost recovery basis, including taxes, if applicable. These services and programs include group sales promotional programs and events sponsored by two (2) or more Participating Hotels, property evaluations, quality assurance manuals, security services, certain training programs and other various services. Costs are allocated among hotels that receive these services or participate in these programs pursuant to program-specific allocation formulas that the Hyatt Group develops. To illustrate, sales events are billed back to Participating Hotels according to three distinct formulae: (1) for events such as trade shows where customers are not readily identifiable, hotels are billed back based on the number of hotels attending (participation method); (2) for customer-only events where customers are readily identifiable, hotels are billed back based on revenue production by each hotel from customers attending the event (production method); or (3) for other events, and most frequently used, hotels are billed back using a hybrid allocation calculated using fifty percent (50%) of the participation method and fifty percent (50%) of the production method. Training and other corporate meetings are billed back to Participating Hotels based on attendance.
Other Corporate Services. Hyatt also provides a number of other corporate services and programs for the benefit of Hyatt Hotels for which reimbursement is made on a cost recovery basis. These services and programs include in-house merchandising services, group sales promotional programs and events sponsored by two or more Hyatt Hotels, property evaluations, quality assurance manuals, college recruiting programs, other training programs and other various services.
Other Corporate Services. The Hyatt Group corporate office may provide temporary employees to fill vacancies or provide additional staffing to Franchise System Hotels and certain other Hyatt-Affiliated Hotels. The Participating Hotel is charged for the actual cost of these employees.
Other Corporate Services. Select provides a number of other corporate services and programs for the benefit of Hyatt Place Hotels, including, without limitation, revenue management, employment tax credits, certain training programs and other various services. Costs are allocated among hotels that receive these services or participate in these programs as a component of the flat monthly fee charged to each Hotel. The following are not subject to the flat monthly rate for Shared Services:
Other Corporate Services. UOL and CMC will share access to any corporate jet services provided by outside vendor(s), except to the extent each party may independently procure such services for itself. For the Financial Transaction Services, UOL will charge CMC the cost to UOL of each employee (including salary, bonus and other compensation, insurance, benefits and taxes) engaged full-time in providing the services (based on 40 hour work week) or, if less than full-time, a percentage of that cost, in each case based on the number of hours worked or percentage (reasonable approximation) of time spent. B. In addition, for the Corporate Financial Services, UOL will charge CMC 50% of UOL's corporate costs and expenses for accounting, finance and tax services. These corporate costs are comprised of: • The employee costs of those employees focused primarily on the administration and supervision of accounting, finance and tax functions. • The UOL Service Costs for services that benefit UOL and CMC such as expenses related to common tax filings, financial reporting, corporate accounting, financial reporting systems, etc. • The insurance costs that benefit UOL and CMC, unless the underwriting criteria warrants a different allocation.

  • OUR SERVICES As insurance intermediaries we generally act as the agent of our client. We are subject to the law of agency, which imposes various duties on us. However, in certain circumstances we may act for and owe duties of care to other parties, including the insurer. We will advise you when these circumstances occur, so you will be aware of any possible conflict of interest. We offer a wide range of products and services which may include: • Offering you a single or range of products from which to choose a product that suits your insurance needs; • Advising you on your insurance needs; • Arranging suitable insurance cover with insurers to meet your requirements; • Helping you with any subsequent changes to your insurance you have to make; • Providing all reasonable assistance with any claim you make. In some cases, we act for insurers under a delegated authority agreement and can enter into insurance policies, issue policy documentation and/or handle or settle claims on their behalf. Where we act on behalf of the insurer and not you, we will notify you accordingly and in relation to claims we will advise you of this fact when you notify us of a claim. Notwithstanding this, we endeavour to always act in your best interest. As intermediaries, we offer a wide range of insurance products and have access to many leading insurance companies and the Lloyd’s market. Depending on the type of cover you require and where we have provided advice based on a personal recommendation, we will offer you a policy from either: • a single insurer; • a limited range of insurers; or • a fair analysis that is representative of the insurance market. We will advise you separately as to which of these apply before we arrange your policy and where we have not undertaken a fair analysis of the market, we will provide you with a list of insurers considered. This means sufficient information will be provided for you to make an informed decision about any product purchased online and you should therefore ensure that any policy provides the cover you require and is suitable for your needs. For Motor Vehicle insurance we require customers to pay an additional charge for our claims service – Coversure Claimsline (details are provided in a separate document). This is a “one-stop” service that enables us to assist you with any claim you may incur. The cost of the Coversure Claimsline services will be included in the price quoted to you for the Motor Vehicle insurance and shown separately in your documentation. By purchasing motor insurance from us, you authorise Coversure and its agents to take all necessary actions to handle your claim including dealing with your insurers, third parties and their insurers and other service suppliers on your behalf. For all other policies, including optional additional products and premium finance (if relevant), before the insurance contract is concluded and after we have assessed your demands & needs, we will provide you with advice and make a personal recommendation. This will include sufficient information to enable you to make an informed decision about the policy that we have recommended, together with a quotation which will itemise any fees that are payable in addition to the premium. This documentation will also include a statement of your demands and needs. You should read this carefully as it will explain reasons for making the recommendation we have made.
