Other Negotiations; Brokers. None of the Selling Stockholders or any of their respective Affiliates (nor any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of any of the Selling Stockholders or any such Affiliate) (i) has entered into any Contract that conflicts with any of the transactions contemplated by this Agreement or the Transaction Documents to which any Selling Stockholder is a party or (ii) has entered into any Contract or had any discussions with any third party regarding any transaction involving the Company, any Subsidiary or any of the Selling Stockholders which could result in the Purchaser, any of its general or limited partners, or any officer, director, employee, partner, agent or Affiliate of the Purchaser or any such partner being subject to any claim for liability to said third party in connection with this Agreement or the Transaction Documents to which any Selling Stockholder is a party or the consummation of any of the transactions contemplated hereby or thereby. No agent, broker, finder, investment banker, financial advisor or other similar Person will be entitled to any fee, commission or other compensation in connection with any of the transactions contemplated by this Agreement or the Transaction Documents to which any Selling Stockholder is a party on the basis of any act or statement made or alleged to have been made by any of the Selling Stockholders, any of their respective Affiliates, or any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of any of the Selling Stockholders or any such Affiliate.
Other Negotiations; Brokers. Neither the Equityholders, nor the Company, nor any of their respective Affiliates (nor any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Equityholders or the Company or any such Affiliate) have entered into any agreement or had any discussions with any third party regarding any transaction involving the Company which could result in the Company, Purchaser or its stockholders, or any officer, director, employee, agent or Affiliate of any of them, being subject to any claim for liability to said third party as a result of entering into this Agreement or consummating the transactions contemplated hereby or thereby. No agent, broker, finder, investment banker, financial advisor or other Person will be entitled to any fee, commission or other compensation in connection with the transactions contemplated by this Agreement on the basis of any act or statement made by the Equityholders, the Company or any of their respective Affiliates, or any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Equityholders, the Company, or any such Affiliate.

Other Negotiations; Brokers. (a) Except as set forth in Section 2.27(a) of the Disclosure Schedule, neither the Company, nor any Subsidiary, nor any Company Stockholder, nor any of their respective Affiliates (nor any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Company, any Subsidiary or any such Affiliate) has entered into any agreement or had any discussions with any third party regarding any transaction involving the Company or any Subsidiary which could result in the Company, any Subsidiary, Jan Xxxx xx its stockholders or any general partner, limited partner, officer, director, employee, agent or Affiliate of any of them being subject to any claim for liability to said third party as a result of entering into this Agreement or the Operative Agreements or consummating the transactions contemplated hereby or thereby.
(b) Except as set forth in Section 2.27(b) of the Disclosure Schedule, no agent, broker, finder, investment banker, financial advisor or other similar Person will be entitled to any fee, commission or other compensation in connection with the transactions contemplated by this Agreement or the Operative Agreements on the basis of any act or statement made by the Company, any Subsidiary, any Company Stockholder, any of their respective Affiliates, or any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Company, any Subsidiary, any Company Stockholder or any such Affiliate.
Other Negotiations; Brokers. Neither Target Co., nor any of their respective Affiliates (nor any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of Target Co., any Subsidiary, or any such Affiliate) (i) has entered into any agreement that conflicts with any of the transactions contemplated by this Agreement or (ii) has entered into any agreement or had any discussions with any third party regarding any transaction involving the Company or any Subsidiary which could result in Purchaser or its members, officers, director, employee, agent or Affiliate of any of them being subject to any claim for liability to said third party as a result of entering into this Agreement or consummating the transactions contemplated hereby or thereby.
Other Negotiations; Brokers. None of Sellers or any Person retained by or acting for or on behalf of any Seller, or any Affiliate of any such Person (i) has entered into any agreement that conflicts with any of the transactions contemplated by this Agreement or (ii) has entered into any agreement or had any discussions with any third party regarding any transaction involving any Seller, which could result in any such Seller, Purchaser, or their respective shareholders, members or any general partner, limited partner, manager, officer, director, employee, agent or Affiliate of any of them being subject to any claim for liability to said third party as a result of entering into this Agreement or consummating the transactions contemplated hereby or thereby. Except as set forth in Schedule 5.1(dd), no broker, finder or investment banker is entitled to any brokerage, finder's or other fee or commission payable by Seller or any Subsidiary of Seller in connection with this Agreement or the transactions contemplated hereby based upon arrangements made by and on behalf of Seller.
Other Negotiations; Brokers. None of the Target, the Sellers nor any of their respective Affiliates (nor any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of any of the Target, the Sellers or any such Affiliate) has entered into any agreement with any broker, investment bank or finder regarding any transaction involving the Target which could result in the Target or the Company, or any officer, director, employee, agent or Affiliate of the Target or the Company, being subject to any claim for liability to said broker, investment banker or finder as a result of entering into this Agreement or the other Transaction Documents or consummating the transactions contemplated hereby and thereby.
Other Negotiations; Brokers. Except as set forth in Section 3.17 of the Disclosure Schedule, neither NuOasis, nor any of their respective Affiliates (nor any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of NuOasis, any Subsidiary, or any such Affiliate) (i) has entered into any agreement that conflicts with any of the transactions contemplated by this Agreement or (ii) has entered into any agreement or had any discussions with any third party regarding any transaction involving the Company or any Subsidiary which could result in Flexweight or its members, officers, director, employee, agent or Affiliate of any of them being subject to any claim for liability to said third party as a result of entering into this Agreement or consummating the transactions contemplated hereby or thereby.
Other Negotiations; Brokers. Except as disclosed in Section 5.24 of the Disclosure Schedule, neither Seller nor any of its Affiliates (nor any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Seller or any such Affiliate) has entered into any agreement with any broker, investment bank or finder regarding any transaction involving MRT which could result in MRT or the Purchaser, or any officer, director, employee, agent or Affiliate of Purchaser, being subject to any claim for liability to said broker, investment banker or finder as a result of entering into this Agreement or consummating the transactions contemplated hereby or thereby. Except as disclosed in Section 5.24 of the Disclosure Schedule, no agent, broker, finder, investment banker, financial advisor will be entitled to any fee, commission or other similar compensation from MRT in connection with the transactions contemplated by this Agreement on the basis of any act or statement made by Seller or any of its respective Affiliates, or any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of Seller, or any such Affiliate.
Other Negotiations; Brokers. No agent, broker, finder, investment banker, financial advisor or other similar third party will be entitled to any fee, commission or other compensation from any GC Entity in connection with the Transaction based upon arrangements made by or on behalf of the Seller.
