Other obligations and provisions. 18.1. The Contractor shall inform the Client as soon as a change of ownership, as defined below, is likely to occur. Insofar as the change of ownership requires an adjustment to this Agreement under the law of the European Union or the Federal Republic of Germany applicable to the Client, the Contractor shall agree the adjustment with the Client to the extent necessary. If the adjustment is refused by the Contractor or its conclusion is delayed, the Client may terminate the contract extraordinarily or withhold payments to the Contractor, regardless of the legal relationship, until the necessary adjustment agreement has been concluded.
