Other Required Consents. All of the other Required Consents shall have been obtained and delivered to Buyer, except to the extent that Seller and Buyer execute a memorandum at Closing specifying any Required Consent that Buyer agrees need not be obtained until after the Closing Date or Required Consents for assignment of agreements which Buyer does not agree to assume. Buyer shall have received from Seller evidence reasonably satisfactory to Buyer that no material terms or conditions of the CATV Instruments and Seller Contracts have been or will be amended, modified or changed prior to or effective with the Closing.
Other Required Consents. All Required Consents not required to be obtained pursuant to Section 11.1.1 shall have been obtained and delivered to Buyer. Buyer shall have received from Seller evidence reasonably satisfactory to Buyer that no material terms or conditions of the CATV Instruments and Seller Contracts have been or will be amended, modified or changed prior to or effective with the Closing.
Other Required Consents. Seller shall have received evidence, in form and substance reasonably satisfactory to it, that the Required Consents marked with an asterisk on Schedule 3.2 have been obtained in accordance with this Agreement.
Other Required Consents. Each of the parties will cooperate with the others and use all reasonable efforts to prepare all necessary documentation, to effect all necessary filings, and to obtain all necessary permits, consents, approvals, and authorizations of all governmental bodies and other third parties (public or private) necessary to consummate the Merger or the other transactions contemplated by this Agreement. Each party will have the right to review and approve in advance all descriptions of or with respect to it that appear in any filing with any governmental body made in connection with the transactions contemplated by this Agreement. In exercising the foregoing right, the parties will act reasonably and as promptly as practicable.
Other Required Consents. Consent of Shareholders of Holdings and Borrower to the Loan Documents and such other consents of each Guarantor as Agent may reasonably require. Consent of each of Metromedia Fiber Network Services, Inc. and Xxxxxxxx Communications, Inc. with respect to the liens granted to Agent hereunder.

Buyer shall have received evidence, in form and substance reasonably satisfactory to it, that the Required Consents marked with an asterisk on Schedule 3.2 and any material Required Consents that are not disclosed on Schedule 3.2 that are substantially of the same significance as the Required Consents marked with an asterisk on Schedule 3.2 have been obtained without the imposition of any condition or any modification that in either case makes, or is reasonably likely to make, the underlying instrument materially more onerous in any respect or materially reduces in any respect, or is reasonably likely to materially reduce in any respect, the benefits available under the instrument in respect of which the consent relates.
