Common use of Outplacement Services Clause in Contracts

Outplacement Services. In the event the Executive is terminated by the Company (other than for Cause, Disability or Death), or the Executive terminates employment for Good Reason, within 24 months following the Change in Control Date, the Company shall provide outplacement services through one or more outside firms of the Executive's choosing up to an aggregate amount to be negotiated by the Executive and the Company, with such services to extend until the earlier of (i) 12 months following the termination of Executive's employment or (ii) the date the Executive secures full time employment.

Outplacement Services. In the event the Executive is terminated by the Company (other than for Cause, Disability or Death), or the Executive terminates employment for Good Reason, within 24 months following the Change in Control Date, the Company shall provide outplacement services through one or more outside firms of the Executive's ’s choosing up to an aggregate amount to be negotiated by the Executive and the Company, of $20,000 with such services to extend until the earlier of (i) 12 months following the termination of Executive's ’s employment or (ii) the date the Executive secures full time employment.

Outplacement Services. In the event the Executive is terminated by If the Company (other than for Cause, Disability or Death), terminates the Executive’s employment without Cause or the Executive terminates his employment for Good Reason, within 24 then the Executive shall be entitled to the services of an outplacement firm for a period of six (6) months following the Change in Control Datesuch termination, the Company which outplacement firm shall provide outplacement services through one or more outside firms of the Executive's choosing up to an aggregate amount to be negotiated selected by the Executive and the reasonable fees and expenses for which shall be paid by the Company, with such services to extend until the earlier of (i) 12 months following the termination of Executive's employment or (ii) the date the Executive secures full time employment.

Outplacement Services. In the event the Executive is terminated by the Company (other than for Cause, Disability or Death), or the Executive terminates employment for Good Reason, within 24 18 months following the Change in Control Date, the Company shall provide outplacement services through one or more outside firms of the Executive's choosing up to an aggregate amount to be negotiated by the Executive and the Companyof $15,000, with such services to extend until the earlier of (i) 12 months following the termination of Executive's employment or (ii) the date the Executive secures full time employment.

Outplacement Services. In the event the Executive is terminated by the Company (other than for Cause, Disability or Death), or the Executive terminates employment for Good Reason, within 24 36 months following the Change in Control Date, the Company shall provide outplacement services through one or more outside firms of the Executive's choosing up to an aggregate amount to be negotiated by the Executive and the Companyof $40,000, with such services to extend until the earlier of (iI) 12 months following the termination of Executive's employment or (ii) the date the Executive secures full time employment.

In the event the Executive is terminated by the Company (other than for Cause, Disability or Death), or the Executive terminates employment for Good Reason, within 24 months following the Change in Control Date, the Company shall provide outplacement services through one or more outside firms of the Executive's ’s choosing up to an aggregate amount to be negotiated by the Executive and the Company, of $25,000 with such services to extend until the earlier of (i) 12 months following the termination of Executive's ’s employment or (ii) the date the Executive secures full time employment.

In the event the Executive is terminated by the Company (other than for Cause, Disability or Death), or the Executive terminates employment for Good Reason, within 24 12 months following the Change in Control Date, the Company shall provide outplacement services through one or more outside firms of the ExecutiveCompany's choosing up to an aggregate amount to be negotiated by the Executive and the Companychoosing, with such services to extend until the earlier of (i) 12 months following the termination of Executive's employment or (ii) the date the Executive secures full time employment.

In the event the Executive is terminated by the Company or the Board of Directors on behalf of (other than for Cause, Disability or Deathdeath), or the Executive terminates employment for Good Reasonbecause of an Involuntary Termination, within 24 months following the Change in Control Date, the Company shall provide outplacement services through one or more outside firms of the Executive's ’s choosing up to an aggregate amount to be negotiated by the Executive and the Companyof $25,000, with such services to extend until the earlier of (i) 12 months following the termination of Executive's ’s employment or (ii) the date the Executive secures full time employment.

In the event the Executive is terminated by the Company (other than for Cause, Disability or Deathdeath), or the Executive terminates employment for Good Reason, within 24 18 months following the Change in Control Date, the Company shall provide outplacement services through one or more outside firms of the Executive's ’s choosing up to an aggregate amount to be negotiated by the Executive and the Companyof $20,000, with such services to extend until the earlier of (i) 12 months following the 2/27/18 Officer Form Page 11 of 13 termination of the Executive's ’s employment or (ii) the date the Executive secures full time employment.

Outplacement Services. In the event the Executive is terminated by the Company (other than for Cause, Disability or Deathdeath), or the Executive terminates employment for Good Reason, within 24 12 months following the Change in Control Date, the Company shall provide outplacement services through one or more outside firms of the Executive's ’s choosing and reasonably acceptable to the Company up to an aggregate amount to be negotiated by the Executive and the Companyof $45,000, with such services to extend until the earlier of (i) 12 months following the termination of Executive's ’s employment or (ii) the date the Executive secures full time employment.

Outplacement Services. In the event of the termination of the Executive’s employment after a Change in Control, Without Cause or for Good Reason as provided for in Sections 4 or 6 hereof, the Company agrees, at its sole cost and expense, to provide the Executive is terminated by the Company with outplacement services for a period of at least twelve (other than for Cause, Disability or Death), or the Executive terminates employment for Good Reason, within 24 12) months following the Change in Control DateDate of Termination.
