OUTSOURCING AND SUBCONTRACTING. 5.1 The Seller shall perform the Contract itself, unless the Buyer has expressly granted its prior written consent to the Seller to contract out work, use any subcontractors, or source any goods or services from third parties. The Seller shall be fully responsible for the performance of third parties engaged in performing the Contract as if it were its own performance. 5.2 The Seller shall protect, defend, indemnify and hold harmless the Buyer Group from and against all claims made by Seller Group members or third parties as described in 5.1 involved in performing the Contract.
